The Derivatives Counsel will join a legal team that has a broad range of responsibilities relevant to our business, including legal support for fund investment transactions and structures, trading activities, derivatives and trading relationships, and other investment advisory matters. The work encompasses transactional, contractual and regulatory matters and requires solid negotiation and drafting skills. This position will work closely with trading, tax, finance and operations personnel. The ideal candidate has excellent legal skills, together with familiarity with financial markets, derivatives instruments, fixed income products, and debtor-creditor relationships.

Primary Responsibilities:

  • Prepare, review, and negotiate ISDA Agreements, collateral arrangements, repurchase agreements (including sponsored repo), prime brokerage arrangements, derivatives clearing agreements, master confirm agreements, and other derivatives documentation with counterparties.
  • Provide legal support on complex over-the-counter (OTC) derivatives, exchange-traded derivatives, and structured products.
  • Ensure compliance with applicable derivatives regulations, including Dodd-Frank, EMIR, and other global regulatory frameworks, including on projects such as compliance with mandatory margin requirements, mandated clearing of sponsored repo, etc.

Qualifications:

  • J.D. degree and at least 6 years relevant work experience.
  • Ability to manage multiple tasks, meet deadlines and deliver high quality work in a fast-paced environment.
  • Strong team player who combines interpersonal and communication skills along with keen analytical
  • Excellent work ethic that demonstrates initiative, problem solving and continuous learning.
  • Member of the bar in good standing.
