Senior Manager, Subsidiary Management

The opportunity

Reporting to Director & Senior Legal Counsel, Investments, the Senior Manager, Subsidiary Management will be responsible for establishing and overseeing internal processes for managing the corporate records of OTPP’s global subsidiaries, including managing relationships with local service providers and/or legal counsel, to ensure compliance with the organization’s legal obligations.  Will provide legal services with an emphasis on contract documentation and investment administration to the Legal Department as well as to the staff of the Investment Division and its supporting divisions generally. Will manage and maintain new document standards, precedents, and coordinate investment filings.

Who you'll work with

You will collaborate with Corporate Affairs leadership as well as various internal stakeholders across the organization including Taxation, Finance and the Investment Counsel team.

What you'll do

  • Collaborate with the Director & Senior Legal Counsel, Investments to establish and oversee internal processes for managing the corporate records of OTPP’s global subsidiaries, including:

    • Managing and coordinating with local service providers and/or legal counsel worldwide to maintain accurate and up-to-date minute books and corporate records;

    • Establishing, overseeing, and continuously improving internal processes for tracking filing deadlines and maintaining corporate records;

    • Ensuring the integrity and accuracy of corporate records, regularly reviewing and updating documentation as needed;

    • Overseeing and ensuring that OTPP global subsidiaries are complying with local legal and regulatory requirements, including timely filings and payments of fees;

    • Identifying potential legal risks related to corporate filings and payments, and providing regular updates and reports to the Investment Counsel to ensure timely action and resolution; and

    • Providing mentorship, leadership, and guidance to the Legal Department, as well as other internal stakeholders, on new processes and best practices for managing corporate records.

  • Collaborate with the Tax Department, Financial Operations team, and external legal counsel and/or service providers to ensure proper measures are taken upon the completion of an acquisition or sale of a portfolio company by the Investments Division.

  • Collaborate with the Senior Manager, Business Planning, Corporate Affairs, to develop and/or implement new technology and tools to improve the accuracy and accessibility of the organization’s corporate records and create efficiencies within the organization.

  • Collaborate with the Investment Counsel team to establish and execute best-in-class service delivery, with the goal of reducing the burden on the Investment Counsel and increasing efficiencies, including:

    • Preparing, reviewing, and/or negotiating standard documentation related to transactions, reorganizations, and/or asset management (e.g., consulting agreements, valuation letters, management representation letters, non-reliance letters, payment direction letters, etc.);

    • Creating and managing information on global corporate law requirements to expedite the execution and delivery of investment related ancillary documentation required for international transactions;

    • Developing and implementing a system to manage know-your-client information and enterprise filings, to ensure accuracy and consistency across all investments;

    • Fielding routine queries related to corporate and investment related law from internal stakeholders, identifying necessary or appropriate corporate documentation, searches, and filings in connection with transactions and other corporate requirements;

    • Coordinating with the Tax Department and Financial Operations team to prepare and maintain accurate investment structure charts;

    • Developing and maintaining new document standards and precedents for the Legal Department;

    • Offering analytical insights and suggestions to the Investment Counsel team on matters related to investment law and/or corporate law; and

    • Acting as a legal representative, providing analysis and recommendations for enterprise-wide projects, committees, and policies.

  • Collaborate with law clerks outside of the Investment Counsel team to develop and implement innovative practices in the provision of paralegal services across the entire Corporate Affairs division.

  • Responsible for preparing investment documentation for review by Investment Counsel, including:

    • Subscription documentation;

    • Know-your-client requests;

    • Corporate notarial documents;

    • Banking documentation;

    • Delegations and certificates of incumbency;

    • Investment-related regulatory filings (not handled by the Compliance team);

    • Hong Kong SFC requirements; and

    • Other matters as they arise.

  • Responsible for handling corporate-related documentation and processes, including:

    • Creating corporations and special purpose entities for the Investment Division, including name searches, creation and organization of special purpose entities (minute books, resolutions, by-laws, etc.);

    • Maintaining corporate records and preparing filings for OTPP’s wholly-owned Ontario investment corporations;

    • Organizing annual general meetings of directors and shareholders and preparing minutes and resolutions for corporations and special purpose entities;

    • Maintaining the corporate administration of non-Canadian and non-wholly owned subsidiaries in GEMS; and

    • Managing director appointments and resignations for employees and board members (both internal and external affiliations).

  • Participate in strategic initiatives and projects on behalf of the Investment Counsel team and Corporate Affairs division.

  • Ensure knowledge sharing amongst colleagues on the Investment Counsel team.

Management accountability

  • Will manage relationships with local service providers and/or legal counsel responsible for maintaining the corporate records of OTPP’s global subsidiaries.

  • Responsibilities will include providing leadership, training, and guidance to the Investment Counsel team on internal processes and best practices for managing corporate records, and advising senior stakeholders on legal risks and mitigation strategies.

  • Excellent communication and interpersonal skills to respond to multiple stakeholders in a timely manner, including executive members, investment professionals and functional partners.

  • Strong organizational and multitasking skills with acute attention to detail.

  • Ability to work well independently and manage multiple priorities.

Decision making

  • Assume primary responsibility for managing the initial establishment of corporate records for OTPP’s global subsidiaries following the closing of a transaction.

  • Take full responsibility for establishing and overseeing internal processes for managing the corporate records of OTPP’s global subsidiaries throughout the life cycle of a portfolio company investment.

  • Ability to co-ordinate and manage multiple tasks simultaneously, demonstrating a high degree of initiative and the ability to work well independently, ensuring timely completion of deadlines.

  • Recognize opportunities and/or issues and proactively exercise judgment in recommending solutions.

What you'll need

  • Post-secondary degree

  • Law degree or equivalent legal qualification (paralegal or law clerk certification)

  • In depth knowledge and understanding of relevant corporate statutes (e.g., OBCA, CBCA, etc.) & investment-related law

  • Familiarity with contract and document preparation and review, as well as regulatory compliance

  • Superior discretion and absolute confidentiality

  • Excellent judgment, flexibility, and a collaborative mindset, with the ability to work effectively in a team

  • Demonstrated ability to mentor and develop team members, fostering a culture of continuous learning and growth

  • Strong organizational, communication, information technology, coordination, and secretarial skills

  • Ability to adapt and respond efficiently to unexpected and demanding timelines

  • Competent research and problem-solving skills

  • Documentation and administrative experience at a level comparable to that of a junior lawyer, senior paralegal, or senior law clerk

  • 7-10 years of experience in an in-house legal department and/or law firm

  • Experience working with global organizations and familiarity with extra-provincial and foreign entity record keeping is an asset

  • Experience supporting institutional investments and/or other financial services is an asset

  • Pension industry experience is an asset
