Your New Role
Our Warner Bros. Discovery (WBD) Corporate Secretary and Legal Entity Management team is seeking a paralegal based out of our NY headquarters to provide corporate legal support to our team members across the US, EMEA, APAC, and LatAm.
Your Role Accountabilities
- This role will be primarily responsible for document management, database management, responding to support requests from colleagues in different parts of the business, and legal entity management.
- Document management: WBD’s historical corporate records are housed across a variety of document management systems. A long-term project for this paralegal role is to bring those historical records over to our current system and to update the current system with the consistent WBD house-style of folder structures and document naming. This will include organizing and scanning hard copies.
- Database management: WBD uses hCue, an entity management system from Wolters Kluwer, to manage our entities. This role will assist with updating hCue on an on-going basis, as well as work on medium-term projects to clean up existing information in hCue and archive out-of-date information where necessary.
- Support requests: This role will be jointly responsible, along with the rest of the team, for managing the team inbox where colleagues in other departments can reach out with queries. Such queries are predominately know-your-customer and similar compliance requests, which usually require basic entity vitals and ultimate beneficial ownership information.
- Entity management: This role will primarily be in a support function to start, but has the option to grow into more responsibility as initial projects are completed. In particular, the level of involvement in day-to-day entity management will likely grow over time, with the option to assist with drafting governance documents, such as shareholder and board resolutions, constitutional documents, and certificates.
- This role requires the ability to organize documents and information in a clear and consistent manner – and to project manage one’s own assignments. A qualified candidate will take ownership of their projects from start to finish, with the ability to strategize efficient processes and then create spreadsheets or other tracking systems to communicate progress. The ability to problem solve and a natural curiosity about WBD’s business and corporate governance will also be key to success in this role. Additionally, as the work will be split between collaborating with colleagues across WBD and managing documents and information, a qualified candidate should be experienced in working as part of a team, while being a self-starter who excels at proactive planning.
Qualifications & Experience
- Minimum 1-3 years of experience in an office setting required. More experience is welcome and internships will be considered.
- Prior legal experience, at a law firm or corporate legal department, particularly in corporate governance, is preferred
- B.A./B.S. in a related field of study required
- Completion of paralegal school/certification is preferred
- Ability to work with a variety of internal and third-party tools for information and document management, particularly cloud-based databases and document management systems;
- Strong organizational and problem-solving skills with the ability to structure longer term projects, including both process planning and tracking progress
- An ownership mentality; a willingness to roll up the sleeves and do whatever is necessary to provide high-quality service to internal stakeholders in the short term and to see complex longer term projects through to completion
- Attention to detail in both legal documents and written and oral instructions, strong note-taking skills
- Ability to maintain a confidential environment as a member of the legal team
- Ability to work well under time constraints, meet deadlines, and handle multiple tasks by prioritizing work effectively and maintaining a sense of urgency
- Good judgment, including the ability to recognize when to ask for help or escalate issues
- Ability to learn quickly in a hybrid work environment and collaborate in a multi-location team environment
- Familiarity with corporate entities (including corporations, LLCs, and partnerships), their constitutional documents (e.g., certificates of incorporation/formation, bylaws, and LLC/partnership agreements), and other related documents (e.g., board and shareholder resolutions, powers of attorney, and officer certificates) is preferred
- High proficiency in the Microsoft Office suite of programs (including Outlook, Word, and Excel), SharePoint, One Drive, Teams, Zoom, Adobe and AdobeSign is required

In compliance with local law, we are disclosing the compensation, or a range thereof, for roles in locations where legally required. Actual salaries will vary based on several factors, including but not limited to external market data, internal equity, location, skill set, experience, and/or performance. Base pay is just one component of Warner Bros. Discovery’s total compensation package for employees. Pay Range: $54,600.00 - $101,400.00 salary per year. Other rewards may include annual bonuses, short- and long-term incentives, and program-specific awards. In addition, Warner Bros. Discovery provides a variety of benefits to employees, including health insurance coverage, an employee wellness program, life and disability insurance, a retirement savings plan, paid holidays and sick time and vacation.
