Your Opportunity

One Permanent Full Time position.

Capital Power is currently seeking a practical and results-oriented individual to join the in-house legal team in Calgary. Reporting to the Associate General Counsel and Corporate Secretary, the Legal Counsel  will work on a variety of corporate and commercial legal matters, including, (i) procurement contracts for goods and services, (ii) technology agreements (SaaS and Cloud), (iii) lease and option agreements and (iv) commercial agreements (including non-disclosure agreements, guarantees, retail power agreements, bi-lateral power purchase agreements, and emission offset/emission performance credit purchase and sale agreements).

You will contribute to our team by:

  • Preparing, reviewing, and negotiating the terms of general corporate and commercial agreements and, where appropriate, engaging and managing external legal counsel to assist with such matters.

  • Developing and maintaining self-help tools for internal business partners, including providing legal educational sessions as well as maintaining standard form agreements, contract playbooks, emission offset/emission performance credit agreements, and non-disclosure agreements.

  • Developing, implementing, and reviewing corporate and commercial related operational processes to ensure compliance to Capital Power’s policies, standards, regulatory requirements and ensure mitigation of risks.

  • Recommending appropriate plans to improve the operational effectiveness of the function and implementing decided actions.

  • Analyzing and identifying issues impacting operational performance and establishing initiatives for continuous improvement to ensure that the services provided align with the needs of the operating units and the shared services groups, while maintaining the necessary governance and risk mitigation role and provide timely advice to business teams regarding all legal issues which affect the viability of CPC’s operations.

  • Overseeing the development and implementation of checklists, protocols and template agreements for corporate and commercial work with directly affected groups to enhance the effectiveness and efficiency of these processes.

  • Analyzing and identifying issues impacting operational performance and establishing initiatives for continuous improvement to ensure that the legal services provided to our internal business partners align with the needs and strategies of these various groups, including but not limited to shared services, operations, and business development while maintaining a governance and risk mitigation role.

  • Working closely with internal stakeholders to establish processes and tools and deliver targeted education on limiting the company’s exposure to liability.

What you will bring to the role:

Education:

  • Bachelor of Laws from an accredited Canadian law school

  • Membership in good standing with the Law Society of Alberta

  • 2-5 years of experience in legal practice with a focus on corporate and commercial law

Technical Skills:

  • Excellent written and spoken communication skills.

  • Ability to use Microsoft Office suite of software.

  • Strong analytical, drafting and negotiating skills.

  • Able to exercise sound professional judgement and work independently.

  • High ethical standards and confidence in own legal judgment

  • Ability to adapt to working in a corporate environment, to focus on results, and to approach problems with an attitude to finding practical and legally compliant solutions.

  • Ensures supportive and collaborative relationships are built and maintained.

  • Ability to respond quickly to address frequently changing client needs, issues and priorities.

Working Conditions:

  • Hybrid Office/Work from home position. 

  • Travel to meet business users at Capital Power facilities or other offices throughout North America.

Additional Details:

This position will remain open until a suitable candidate is found.
