Position Overview

The Legal Counsel will be part of Apollo’s European legal team and will be involved in a wide range of legal, corporate and regulatory activities. Locally, the person will be part of a team of 4 lawyers and will directly report to the Senior Counsel based in Luxembourg. The person will be responsible for all the legal, corporate and regulatory aspects of AIFs allocated to its portfolio and will directly collaborate with external advisers and service providers. This position requires (i) a certain degree of seniority, (ii) a strong ability to monitor and supervise several tasks simultaneously, (iii) collaborate closely with different departments/functions and (iii) a general view of the different laws and local/European regulations (commercial and civil law, AIFMD, MiFID, EU Securitization law, Part II UCI, ELTIF…).

Primary Responsibilities

Investment fund structures and AIFM

  • Have good knowledge of AIFMD, MiFID, Part II UCI, ELTIF and other applicable regulations

  • Review and validate investment fund structures

  • Review and comment governing documents (LPA, PPM, AIFM agreement, Depositary agreement…)

  • Monitor and supervise inception process of AIFs (board meeting, signature of documents) and filings with Luxembourg authorities (LBR, CSSF)

  • Monitor specific reporting undertakings

  • Coordinate and monitor law firms and service providers

  • Directly participate to the activity and reporting obligations of our AIFM from a legal and regulatory perspective (regulatory watch, review policies and procedures, monitoring of investment limits/restrictions…)

Regulatory and Development Projects

  • Analyse new regulations, assess their potential impact on Apollo’s activity, define action plan and supervise their implementation and maintenance

  • Participate and support internal development projects

Qualifications & Experience

  • Top academic credentials in law (BA/BS/LLB) from a top university with 4-5 years+ PQE in the corporate/funds team of a top-tier law firm with focus on financial services

  • Transactional M&A experience (including project management skills) are a plus

  • Mature and exceptional communication / interpersonal skills (both written and verbal)

  • Builds and maintains strong relationships/credibility with relevant internal stakeholders, regulatory representatives, and outside vendors, including outside counsel and consultants

  • Can execute strategy with the appropriate sense of urgency while also maintaining a grasp of the details

  • Thinks critically and proposes business-oriented solutions that combine excellent judgement, creativity, risk-management and technical expertise

  • Can work independently, as well as in collaborative partnership with the broader European and global legal team; strong desire to learn

  • Thrives in a fast-paced, rigorous work environment; effectively prioritizes and meets deadlines
