The Head of Legal, IP and Contracts, will play a crucial role in managing and overseeing the company’s intellectual property and contract-related activities. This position requires a strategic thinker fluent in multiple scientific and technology areas. Strong negotiation skills and a deep understanding of both IP and contracting processes. The ideal candidate will provide expert legal counsel, manage contract lifecycles, drive the company’s IP strategy and support its growth and compliance needs. This is an extremely interactive role in a unique environment that requires excellent communication skills and the ability to identify and leverage innovations, provide pragmatic and business-savvy advice, build transactional value, manage multiple priorities, and accurately and succinctly identify and communicate decisions and rationales to both scientific and executive teams.
Key Responsibilities:
Intellectual Property Management:
- Develop and execute an IP strategy, including expanding and managing a patent portfolio.
- Identify and mitigate third-party IP issues and manage relationships with outside counsel to ensure efficient IP management.
- Serve as a key legal advisor for corporate and business development teams in areas of partnering, due diligence, IP licensing, and commercialization.
- Stay informed about Good Clinical Practice (GCP), Good Laboratory Practice (GLP), and Good Manufacturing Practice (GMP) to support relevant IP and contract activities.
- Collaborate closely with Flagship Pioneering’s IP counsel on overall IP strategy
Contract Management:
- Oversee and manage the entire lifecycle of the contract process to ensure timely and efficient workflows for all contracting activities.
- Negotiate and draft clinical trial agreements, master service agreements, scope of work documentation, and other critical business agreements and coordinate finalization and execution with business counterparts.
- Develop, optimize, and maintain contract templates and internal positions on key contractual provisions.
- Ensure all contractual obligations are tracked, deadlines are met, and relevant stakeholders are informed of their obligations in a timely manner.
- .Provide training to relevant business units on contract processes to ensure compliance with approval and contract requirements.
- Host regular meetings with internal and external teams to track progress and address any issues related to contract activities.
- Collaborate with Flagship Pioneering’s Senior Counsel, Contracts as needed to discuss more complex contract issues.
Legal Infrastructure and Compliance:
- Build and maintain technical infrastructure to support efficient legal operations, including managing an internal contract management system.
- Oversee all regulatory, compliance, and privacy affairs of the company.
- Work with corporate teams and outside counsel to support employment and immigration law matters.
- Provide general legal counsel and education to company scientists and management teams.
- Collaborate with corporate teams and outside counsel to support partnering, due diligence and IP licensing activities.
- Support the IP and contracting infrastructure to manage company growth and enhance operational efficiencies.
Qualifications:
- Juris Doctor (JD) degree and admission to practice law.
- At least 10 years of legal experience required, and 5 years experience in industrial roles preferred
- Extensive experience in IP law and contract management is required.
- Proven track record in negotiating complex agreements and managing IP portfolios.
- Demonstrated technical knowledge in CMC is required
- Familiarity with GCP, GLP, and GMP is preferred.
- Strong communication and leadership skills.
- Strong organizational skills, attention to detail, and the ability to work independently and collaboratively.
