Job Description

The Contracts Manager is responsible for providing comprehensive contract support for sourcing activities. This effort will be directed primarily toward the Strategic Sourcing Organization but will extend to sourcing activities of the businesses and other functions. The role calls for a Contracts Manager who supports the company's strategic initiatives by leading execution of strategic agreements that assure compliance, facilitate growth, and mitigate risk. Proficiency in software and other technology agreements. The selected candidate will report directly to the Manager, Contracts & Negotiations/Global Sourcing.

Responsibilities include:

  • Reviews, negotiates, and drafts contractual documents such as purchase agreements, license agreements, non-disclosure agreements, and other complex commercial agreements that establish business relationships with suppliers and partners.
  • Identifies and reviews business, legal, and contractual risks, advises organization on acceptable contractual language and strategy to mitigate the risks, and develops and executes on negotiation plan.
  • Develop an understanding of Rockwell Automation standard terms and conditions as well as policies, procedures, processes and the roles and responsibilities supporting them.
  • Demonstrates knowledge to analyze and structure contracts to ensure compliance to company policy, and other relevant, applicable requirements.
  • Train clients on relevant legal and contractual issues.
  • Collaborate with SSO and legal department – particularly commercial and intellectual property attorneys and G&IS – to discern risk tolerance and manage risk related to opportunities and engagements, particularly in connection with new business models.
  • Work with interdisciplinary project teams, including other peers and functions within the Office of General Counsel.
  • Advises the business units on our contractual rights and remedies throughout the duration of a business relationship and involve Rockwell Automation's Dispute team, if necessary.
  • Values working in a team-oriented culture and building consensus with stakeholders before making key decisions.

The Essentials- you will have:  

  • Bachelor's Degree.
  • Legal authorization to work in the US is required. We will not sponsor individuals for employment visas, now or in the future, for this job opening.

The Preferred- you might also have: 

  • Typically requires 5 or more years of experience in contracts and negotiations or a related field.
  • Law degree from a US accredited Law School or equivalent, along with being licensed to practice law in the state or country of your domicile is preferred.
  • Experience handling software and other technology agreements.
  • Sound contract and business judgment; ability to assess risk and balance legal and business considerations.
  • Excellent working knowledge of contract law, concepts, and policies and procedures related to contract management, as well as knowledge of project management principles
  • Ability to work both alone and as part of team.
  • Excellent negotiation skills.
  • Experience managing and improving processes and driving continuous improvement
  • Attention to detail and creative individual with a focus on value-added service.

  • Effectively build and manage relationships.
