Job Description: Applied Materials is seeking an experienced, creative and energetic commercial attorney to support our government contracts program, which encompasses U.S. federal grants and procurement contracts as well as government-funding opportunities throughout Europe and Asia. This person should be comfortable interacting with and providing counsel to business executives, product and development teams, our sales force, and our customers. This role will also require cross-functional collaboration with compliance and legal, finance, and business teams to design, implement, and manage compliance policies and procedures for government contracts. This Director level position will report to a Managing Director in the Legal and Compliance Organization.

Key responsibilities include:

  • Support the company’s U.S. government contracting initiatives through legal advice and counsel on federal, state, and local government contracts, grants, and other agreements.

  • Draft and/or negotiate government contracts and related agreements including but not limited to prime contracts, grants, cooperative research agreements, Other Transaction Agreements, subcontracts, joint venture agreements, teaming agreements, and NDAs.

  • Provide legal assistance to support implementation of federal contracts and development of compliance-focused business processes. This includes drafting, updating, and communicating policies and best practices to the business and stakeholders.

  • Monitor, track and communicate trends on regulatory changes and enforcement impacting government contracting. Advise management and key stakeholders on risks and opportunities in this area, and collaborate with other functions, including Finance, Compliance, Global Trade and Government Affairs, to support ongoing compliance.

  • Assist in performing routine risk assessments and monitoring of ongoing contract compliance in coordination with other compliance and operational functions.

  • Analyze government funding opportunities in all of the countries where Applied operates and manage and lead Applied’s government funding oversight program.

  • Provide counsel and legal guidance to business stakeholders regarding implementation of legal and contractual requirements and reporting requirements.

  • Partner effectively with other groups in the Legal and Compliance Organization to deliver effective and comprehensive legal support to business stakeholders and assist in the development and implementation of policies and procedures for compliance with government contracting requirements.

Qualifications

Basic Qualifications

  • Juris Doctorate (JD) from an accredited and recognized law school.

  • 10+ years of legal experience with a focus on government contracts.

  • Experience counseling stakeholders on compliance with the FAR, DFARS, DEAR, Uniform Grant Regulations, and other government contracts regulations, and developing related policies and procedures.

  • Experience leading government contract negotiations, including prime and subcontract negotiations, providing pre-award support such as RFP reviews, and post-award counseling.

  • Ability to spot compliance and regulatory implications of new businesses.

  • Demonstrated ability to deliver practical guidance clearly and concisely, as well as a consistent track-record of being proactive, while managing multiple and complex projects. 

  • Demonstrated ability to drive global, enterprise-wide policies, processes, and practices,

  • Excellent negotiation skills including first-hand experience leading negotiations.

  • Strong written and verbal communication skills necessary to support a global business.

  • Experience identifying legal and regulatory requirements and communicating requirements to business stakeholders.

  • Flexible working hours to support clients outside North America.

  • Ability to travel (up to 5% of time).

  • Licensed to practice law in the relevant jurisdiction.

Preferred Qualifications, Skills and Attributes:

  • Familiarity with US lobbying regulations.

  • Experience advising on cybersecurity and/or information security statutes, regulations, and compliance frameworks, including FISMA, DFARS, NIST, and CMMC.

  • Experience representing technology companies.

  • Work experience in law firm and/or in-house corporate legal departments.

  • Interest in technology implementation and adoption in the workplace.

  • Understand how to translate business needs into contract language and creatively resolve business issues.

  • Passionate, proactive, highly motivated self-starter.

  • Excellent organizational skills, including attention to detail and ability to create specific action plans based on general guidance and deliver results.

  • Ability to see the big picture and identify and design-out problems from the outset; continuous improvement mindset.

U.S. Salary Range:

$192,000.00 - $264,000.00

The salary offered to a selected candidate will be based on multiple factors including location, hire grade, job-related knowledge, skills, experience, and with consideration of internal equity of our current team members. In addition to a comprehensive benefits package, candidates may be eligible for other forms of compensation such as participation in a bonus and a stock award program, as applicable.

For all sales roles, the posted salary range is the Target Total Cash (TTC) range for the role, which is the sum of base salary and target bonus amount at 100% goal achievement.
