The overall objective of this role is to provide legal support, advice, and guidance to Citi’s Romania franchise across a broad range of practice areas (e.g. banking and capital markets, securities services, regulatory and HR) with respect to the local laws and regulations.
This role is responsible for providing guidance, support, and legal advice to Citi's businesses and functions in Romania. This role requires thorough understanding of the business needs and expectations, combined with a solid conceptual / practical grounding in the laws and regulations applicable in Romania. Provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions.
Key Responsibilities:
Develops a broad understanding of Citi’s businesses in Romania and of the major legal and regulatory risks facing those businesses
In coordination with the other members of the country Legal team provides legal advice and support on legal, control function and regulatory matters associated with Citi’s business activities and legal entities in Romania; ensures that Citi is appropriately addressing legal, regulatory, franchise and reputational risks
Collaborates across internal lines of business, control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest, coordinates closely with Legal team members, as appropriate
Supports efforts to ensure key legal and regulatory developments that may impact or otherwise be relevant to Citi’s businesses in the country, including those involving other financial institutions, are appropriately monitored and that country management is apprised of significant developments
Manages day-to-day legal activities as a subject matter expert in area of responsibility and provides senior advisory services to business partners, including:
Preparation and maintenance of standard precedent contracts
Support preparation, review of procedures and internal instructions providing for the legal framework of operations, preparing legal opinions on internal procedures prepared by other departments
Setting up the legal framework for new products
Provide legal advice and assistance in relation with communication with regulatory and law enforcement bodies
Preparation of documents and submissions relating to the corporate operations of Citi
Preparing legal opinions (e.g., interpretation of legal rules, opining on draft legal rules, opining on existing contracts)
Legal handling of customer claims
Preparing (negotiating) and drafting individual, non-standard contracts
Provide assistance to all the units in interpreting the legal requirements
Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citi, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Citi policies, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.
Key Requirements:
Romanian license in law degree with excellent grades and a minimum of 5 years of relevant experience in banking law/corporate and commercial law position
Excellent knowledge of Romanian legal regulations and practices
Experience in cross-border transactions, dispute resolution or regulatory matters
Excellent oral and written communication skills in Romanian and English
Expertise in banking, regulatory, AML, data protection, employment law matters will be considered as an advantage
Ability to multitask and work in collaboration and under pressure
