Summary:

We are actively seeking an experienced business lawyer to join our legal team as Legal Counsel. The ideal candidate will have at least 3-5 years of legal experience, with specific expertise in technology and intellectual property law,  SaaS sales agreements, vendor management, non-disclosure agreements, referral and revenue partnership agreements,  data privacy law and a strong interest in legal operations. A high percentage of the work would be the drafting, reviewing and negotiating of a wide variety of commercial contracts.

  • Vendor Management:

    • Negotiate, draft, and manage vendor contracts, ensuring compliance with company policies and legal standards.

  • SaaS Sales Agreements:

    • Review and negotiate software-as-a-service (SaaS) sales agreements, licensing agreements, and related contracts.

    • Provide legal guidance on SaaS transactions and API Agreements to ensure alignment with business goals.

  • Technology  & IP Law:

    • Offer legal counsel on technology-related issues, including intellectual property, licensing, trademarks and contractual matters.

    • Stay informed about industry trends and changes in technology law, providing proactive guidance to the organization.

  • Non-Disclosure Agreements:

    • Draft, review, and negotiate non-disclosure agreements and other commercial contracts.

    • Provide strategic advice on the use of non-disclosure agreements in various business contexts.

  • Referral and Revenue Partnership Agreements:

    • Review, negotiate, and draft agreements related to referral and revenue partnerships.

    • Collaborate with business development teams to structure agreements that align with strategic objectives.

  • Legal Operations:

    • Collaborate with cross-functional teams to optimize legal processes, enhance efficiency, and contribute to the development of innovative legal strategies with a particular emphasis on the use of AI tools.

    • Implement and maintain best practices to improve overall legal operations.

    • Manage Contract Lifecycle Management (CLM) platform

  • Privacy Law:

    • Develop and implement privacy policies and procedures to ensure compliance with data protection laws.

    • Provide counsel on privacy matters, including data breaches, risk assessments, and regulatory compliance.

Qualifications:

  • Admitted to practice law and an active member in good standing at the Law Society of a Canadian province or territory

  • Minimum 3-5 years of experience as a commercial or technology lawyer with expertise in vendor management, SaaS sales agreements, privacy law, technology law, non-disclosure agreements, and referral and revenue partnership agreements.

  • Strong interest and aptitude for legal operations, tech solutions and process improvement with a focus the use of AI tools for automated document review

  • Exceptional negotiation, communication, collaboration and interpersonal skills.

  • Proven ability to thrive in a fast-paced, dynamic environment.

The full salary range* for this role is $140,300 to $165,000 to $189,700 CAD..

*We aim to hire all candidates between the minimum and the midpoint of the full salary range. We reserve the midpoint to the maximum of the salary band for internal employees who demonstrate sustained high performance and impact at Clio. The final offer amount for this role will be dependent on individual experience and skillset of the candidate. Please note there are a separate set of salary bands for other regions based on local currency.
