Position Overview:
TD Bank is seeking a dynamic Manager of Governance and Control to join our Legal Department and play a pivotal role in ensuring the integrity, compliance, and effectiveness of our legal processes. As the 1B function within the Legal department, you will be instrumental in implementing and maintaining robust governance frameworks, risk controls, and compliance mechanisms. This role is a unique opportunity for professionals who are passionate about governance and risk management and want to contribute to a crucial area within the bank.
Key Responsibilities:
▪ Governance Frameworks: Develop, implement, and maintain governance frameworks that support the Legal department’s strategic objectives while ensuring compliance with internal and external regulatory requirements.
▪ Control Environment: Establish and oversee a comprehensive control environment within the Legal department, identifying key risks and implementing controls to mitigate these risks effectively.
▪ Risk Assessment: Conduct regular risk assessments and audits to ensure that legal processes are aligned with the bank’s risk appetite and regulatory standards.
▪ Compliance Management: Collaborate with legal and compliance teams to ensure that all legal operations adhere to applicable laws, regulations, and internal policies.
▪ Incident Management: Lead the investigation and resolution of any governance or control-related incidents within the Legal department, ensuring timely reporting and corrective actions.
▪ Policy Development: Develop, update, and enforce policies and procedures that support the Legal department’s governance and control objectives.
▪ Reporting and Analytics: Provide regular reporting on governance and control activities to senior management, including key metrics, risks, and remediation efforts.
▪ Training and Awareness: Design and deliver training programs to increase awareness of governance and control issues within the Legal department, fostering a culture of compliance and risk management.
▪ Stakeholder Engagement: Work closely with cross-functional teams, including Risk, Compliance, and Internal Audit, to ensure a cohesive approach to governance and control across the bank.

Qualifications:
▪ Bachelor's degree in business, Finance, Risk Management, or a related field.
▪ 5+ years of experience in governance, risk management, or control functions, preferably within a financial institution.
▪ Strong understanding of governance frameworks, risk management practices, and regulatory compliance.
▪ Experience in developing and implementing control environments, with a focus on continuous improvement.
▪ Excellent analytical, problem-solving, and communication skills, with the ability to influence and engage stakeholders at all levels.
▪ Familiarity with legal processes and regulatory environments is an asset, but not required.
▪ Proficiency in governance, risk, and compliance (GRC) tools and technologies.
