Ergonia Holdings is a diversified cryptoasset trading and venture firm, backed by the founders of some of the most successful and reputable operators in tradfi and crypto markets, proprietary trading firm DRW and leading crypto trading firm Cumberland.

Ergonia consists of two primary businesses: (1) Cumberland Labs, a venture studio, and (2) Ergonia Ltd, a DeFi trading unit. Ergonia’s global footprint spans across five countries with 24-hour operations.

Cumberland Labs is a ‘Zero to One’ venture studio that internally conceives of and builds blockchain products and businesses, from ideation to production and spin-out. Cumberland Labs also works with a small number of founders from inception with substantial first-check capital and resource commitment.

Ergonia Ltd, funded by Don Wilson and the partners at DRW, is an independent cryptoasset trading firm focused on DeFi markets. Leveraging DRW and Cumberland’s experience in crypto markets since 2014, Ergonia Ltd deploys innovative technology to pursue a range of trading strategies.

Ergonia  is currently seeking an Associate General Counsel to join our team.

Core Duties:

Corporate Governance

  • Oversee the formation, maintenance, and dissolution of corporate entities, including subsidiaries and joint ventures across the US, Caribbean, UK, and APAC region within the Cumberland Labs corporate umbrella including supporting portfolio companies.
  • Assist with the preparation and management of board meetings, including drafting minutes, resolutions, and agendas.
  • Ensure all corporate records are accurately maintained and up to date.
  • Prepare and file necessary regulatory documents and reports with relevant authorities.
  • Ensure compliance with corporate governance requirements and best practices across all jurisdictions in which Ergonia operates.

Fundraising Transactions

  • Advise internal business teams on all stages of transactions from initial discussions to initial documentation and definitive documentation and then ongoing post-execution support.
  • Advise on legal aspects of financing transactions, including venture capital investments, SAFE notes, convertible notes, and equity issuances.
  • Draft and negotiate investment agreements, shareholder agreements, and other related documents.
  • Lead legal negotiations with third parties.
  • Coordinate with internal subject matter experts, internal support groups and outside counsel.

Commercial Contracts

  • Prepare, review, and negotiate a wide variety of commercial contracts including service agreements, trading related agreements, partnership agreements, licensing agreements, leases, confidentiality agreements, vendor contracts and other commercial contracts.
  • Ensure all contracts comply with relevant laws and regulations.
  • Identify and mitigate potential risks in contractual terms.
  • Provide legal advice to internal stakeholders on contractual obligations, rights, and responsibilities.
  • Assist in the interpretation and enforcement of contractual terms and conditions.
  • Develop and maintain contract templates and playbooks to streamline processes.

Regulatory

  • Serve as the primary liaison between Ergonia Holdings and external regulatory counsel, and coordinate and communicate regulatory advice from external counsel to internal stakeholders.
  • Collaborate with internal teams to integrate regulatory considerations into business strategies and operations.
  • Stay abreast of regulatory changes and developments impacting the crypto and DeFi markets, and actively seek opportunities to increase exposure to regulatory aspects of the business.

Required Skills & Experience:

  • 4 - 7 years of experience as a practicing lawyer, ideally in private practice
  • Experience with transactional work relating to venture capital financing, technology, trading and/or digital assets.
  • Exposure to regulatory issues relating to digital assets is a plus, but not required
  • Must be comfortable working independently and on tight timelines
  • Ability to effectively communicate at all levels of the firm
