The Senior Corporate Paralegal provides advanced legal support to the Legal Team and works closely with the General Counsel and the Team’s internal and external clients. This role involves handling complex legal tasks and supporting the delivery of quality legal services by exercising advanced judgment and independent contribution to legal functions.  The Senior Corporate Paralegal will oversee day-to-day responsibilities that include workload management, legal and regulatory research, responding to subpoenas and other legal inquiries, contract template and Legal Team policy management, and preparing and submitting corporate and regulatory filings. The Senior Corporate Paralegal will also assist with select contract reviews, procurement and management of legal technology, and developing and delivering legal and contracting resources.   

Additional Details:

  • Support the General Counsel and Legal Team in the management of legal operations initiatives and special projects. 

  • Field and prioritize all incoming legal/contract-related requests and manage communications with internal clients regarding response times. 

  • Assist with contract, RFP/bid, and other legal document reviews (i.e., compiling, drafting, and redlining).  

  • Support the Legal Team with the implementation and day-to-day management of a Contract Lifecycle Management system. 

  • Develop, maintain, and manage policies, procedures, and workflows, contract templates, legal forms, training materials, and educational resources.   

  • Assist with the collection of information and preparation of responses to subpoenas.  

  • Provide support for responses to regulatory inquiries (e.g., unemployment, tax, audit, medical board, etc.).    

  • Assist in coordinating legal holds and e-discovery. 

  • Conduct online legal research (i.e., federal, state, local, case law, secondary sources, etc.) and prepare summary memorandums.  

  • Prepare and file various corporate documents, including but not limited to regulatory applications, and state agency registrations and reports.  Ensure all filings comply with state and federal laws. 

  • Work with the corporate finance team, corporate legal team, and corporate risk team, as applicable, to create, organize and maintain limited liability companies and professional corporations, and prepare and submit regulatory compliance-related documents and filings.  

  • Support the General Counsel and Legal Team on special projects (e.g., development of training materials and facilitation of training, and the procurement, implementation, and management of legal technology) or other duties as assigned.

  • Bachelor’s degree preferred or relevant equivalent.  

  • Paralegal Certificate or degree in Paralegal Studies. 

  • 10 years of experience as an in-house Corporate Paralegal preferred. 

  • Preparation and submission of regulatory filings.  

  • Previous use of Contract Lifecycle Management systems required.  

  • Healthcare industry and/or staffing experience is a plus. 

  • Experience with contract drafting and redlining and exposure to various contract types (e.g., service, vendor, confidentiality, independent contractor) is a plus.
