We have a fabulous new opportunity for a Company Secretarial Assistant to join our Legal, Regulatory Affairs, Ethics & Compliance, and Secretariat Function (LRECS). LRECS focusses on providing a diverse and inclusive environment with a strong emphasis on wellbeing and delivering opportunities for growth and personal development.

In this role you will provide company secretarial support to the Secretariat function which has primary responsibility within Centrica for corporate governance, share scheme compliance and UK statutory compliance. 

Location: We work flexibly in line with our Flexible First working arrangements believing that empowered colleagues are happier and more productive. The successful candidate will, however, need to be comfortable commuting to our Windsor office on a weekly basis and to our other locations as may be needed.

What will you do?

The primary area of accountability is in relation to UK statutory company administration.  However, other accountabilities include providing support to the Centrica plc Board and Committees from time to time and liaising with the Company’s share registrars to ensure that Centrica’s share register is managed efficiently and effectively. You will also be involved with the following:

  • Maintaining the Diligent database and undertaking Companies House filings. 
  • Preparation of documents to ensure continued compliance with applicable legislation
  • and regulation.
  • Drafting, circulating and filing of minutes for subsidiary companies (e.g., appointment/resignation of directors).
  • Preparation and release of Stock Exchange Announcements.
  • Providing support in relation to the preparation of the Centrica plc Annual Report.
  • Assisting with the arrangements for the Centrica plc Annual General Meeting.
  • Providing support for the subsidiary statutory accounts process.
  • Preparing corporate information in support of project tenders.
  • Recording all communications received from shareholders, liaising with Centrica’s share Registrars and drafting responses as appropriate.

Who are we looking for?

  • ICSA qualified/nearly qualified – you must be able to commit to finishing or completing an ICSA Qualification if not yet complete.
  • Demonstrable company secretarial experience gained within the Secretariat of a UK listed company.
  • Confidentiality, conscientiousness and integrity.
  • Excellent attention to detail.
  • Highly organised with the ability to multitask.
