What You Will Be Doing

ChargePoint is seeking an experienced and self-motivated Corporate/Commercial Paralegal to join its Legal team. In this role, you will support ChargePoint with maintaining corporate subsidiary compliance matters, facilitating corporate record keeping, assisting with corporate filings, managing commercial contract assignments and recordkeeping and much more. In addition to the Legal team, you will collaborate with cross functional teams, including Finance & Accounting, Stock Administration, Sales, Marketing, Operations, Engineering, Information Security, and Product. This is the right role for you if you are solutions-oriented, collaborative, and able to think quickly, communicate clearly, and implement streamlined solutions to process challenges.

Duties Include

  • General corporate record keeping, including:
    • U.S. and foreign entity formation; entity dissolution; foreign qualifications, obtaining EINS, especially with non-US based entities; and maintaining corporate records; and
    • Partner with internal Finance & Accounting teams, as well as manage outside corporate counsel, to assist with annual compliance filings for non-U.S. corporate and tax purposes;
  • Securities and Exchange Commission (“SEC”) filing obligations:
    • Responsible for all Form 3 and Form 4 filings;
    • Responsible for obtaining and maintaining EDGAR codes for Form 3/4 filers; and
    • Successfully using Workiva to prepare and draft annual proxy statements and related corporate SEC filings such as Form 8-Ks, 10-Qs and 10-Ks.
  • Commercial Legal operations:
    • Maintain ChargePoint’s contract management system (Ironclad, OneDrive), including workflow creation, work assignments (Ironclad &  Jira) and correspondence with internal Sales and Legal team stakeholders;
    • Manage all contract records to increase organization, efficiency, and record keeping;
    • Manage processing, finalization and execution of all standard all nondisclosure agreements (inbound/outbound);
    • Manage Legal training for Sales; and
    • Create and maintain internal legal knowledge management database resource.
  • General Tasks
    • Process requests for certificates of insurance with insurance brokers;
    • Communicate with internal stakeholders by providing excellent customer service to colleagues at all levels in the U.S. and Europe by responding to inquiries in a timely, professional and courteous manner;
    • Assist and support the legal group as a whole, including the Chief Legal Officer, in administrative tasks;
    • Prepare reports and metrics for the Legal team, as needed;
    • Support ad-hoc and special projects; and
    • Develop, implement and continually improve Legal processes and procedures.

Skills

  • Successful applicants will be proficient in the following applications or software platforms:
    • Workiva
    • Ironclad
    • Microsoft Office Platform, including OneDrive, Excel, Word, PowerPoint and other collaboration suites
    • DocuSign
    • Intelligize (or the SEC’s EDGAR site) is a plus

What You Will Bring to ChargePoint

  • Bachelor’s degree and 10+ years of experience. 3-5 years of corporate transactional work at a law firm desired;
  • Strong initiative and problem-solving skills;
  • Be a current licensed California Notary in good standing;
  • Detail oriented with a strong desire to create structure and scalable processes;
  • Customer-centric and solutions-oriented approach supporting both external and internal clients while protecting the best interest of the company;
  • Experience in a global business environment and supporting team members located in worldwide geographies;
  • Strong oral and written communication skills;
  • Ability to maintain strict confidentiality of sensitive information;
  • Research and analytical skills are a differentiating plus;
  • Strong interpersonal skills and effective communication and presentation styles; and
  • Strong work ethic with ability to work independently

Location

Campbell, CA

ChargePoint is committed to fair and equitable compensation practices. The targeted US salary range for roles at this operating level is $85,000 to $160,000. This range represents base salary and does not reflect equity, benefits or variable pay where applicable. Actual base salaries are based on several factors unique to each candidate, including but not limited to skill set, experience, certifications and specific work location.
