What you'll do:

As a Managing Director, Western Alliance Bank’s Shareholder Representative national business line, you will have full responsibility for the strategic leadership, growth, and profitability of the Bank’s shareholder representative platform. This role owns the business line P&L, hiring, go-to-market strategy, sales execution, and operational risk management for shareholder representative engagements nationwide. You will attain established individual, divisional, and corporate goals through active participation in business development, client advisory activity, and strategic relationship management. A key responsibility of this role is to promote the Bank by maintaining strong client relationships, serving as a trusted post-closing advisor to selling shareholders, and referring clients to appropriate internal partners for additional Bank products and services.
  • Lead and manage the Shareholder Representative Services national business line, including full P&L responsibility, pricing strategy, and profitability metrics.
  • Develop and execute a national growth strategy for shareholder representative services in connection with M&A transactions.
  • Support senior leadership by compiling and analyzing market research, competitive intelligence, and transaction trends to develop recommendations regarding products, pricing, and service delivery.
  • Originate, structure, and negotiate shareholder representative engagements, serving as the primary relationship manager for selling shareholders, advisors, and counterparties.
  • Manage all operational aspects of shareholder representative engagements, including shareholder communications, administration, recordkeeping, and coordination of fund flows.
  • Oversee purchase price adjustment, earnout, and milestone payment processes, including review of financial statements and coordination with external accounting and legal advisors.
  • Manage indemnification claims on behalf of selling shareholders, including evaluation of claim validity, negotiation of resolutions, and supervision of disputes, mediation, arbitration, or litigation as required.
  • Oversee escrow and holdback administration, serving as liaison with escrow agents and providing disbursement instructions in accordance with transaction documentation.
  • Ensure adherence to fiduciary duties owed to selling shareholders, acting in good faith and in the collective best interests of all sellers.
  • Identify and manage legal, operational, reputational, and financial risks through robust engagement documentation, indemnification structures, insurance, and reserve mechanisms.
  • Build, hire, and lead a high-performing national team, including recruiting, training, performance management, and ongoing professional development.
  • Maintain advanced knowledge of M&A market trends, shareholder representative best practices, fiduciary standards, and relevant corporate and contract law principles.
  • Represent the Bank with law firms, private equity sponsors, strategic acquirers, investment banks, and other transaction participants to strengthen Western Alliance Bank’s market position.
  • Prepare management reporting and performance updates for senior leadership and the Board as required.

What you'll need:

  • Juris Doctor (JD) required; member in good standing of at least one U.S. state bar. 
  • Minimum of 7 years of direct experience serving in a shareholder representative capacity across M&A transactions. 
  • Demonstrated experience managing all facets of shareholder representative engagements, including indemnification, escrows, purchase price adjustments, earnouts, and post-closing disputes. 
  • Prior experience owning or influencing business line economics, P&L outcomes, or revenue-based performance metrics. 
  • Proven leadership experience with responsibility for building and managing teams. 
  • Advanced expertise in fiduciary obligations, contract interpretation, and post-closing M&A risk allocation. 
  • Strong analytical, organizational, and judgment skills with the ability to balance competing shareholder interests. 
  • Exceptional written and verbal communication skills, with comfort advising sophisticated stakeholders and senior executives. 
  • Advanced proficiency in Microsoft Word, Excel, and related business applications.
