The Company Secretary and Data Privacy Consultant, Europe will be responsible for providing advice and guidance at Board level and all Company Secretary Governance to ensure decision-making is well informed through strategic plans and policies across Europe NAB London Branch and NAB Europe SA. In addition, the role will provide support and guidance on Data Privacy issues for the region, working closely with the Group DPO.

Company Secretary

·         Act as the Company Secretary for NAB Group companies in Europe (London Branch and NAB Europe) and ensure NAB is compliant with corporate governance legal and regulatory requirements of those jurisdictions (including Listing Rules to the extent relevant) and as required by NAB as the parent company.

·         Act as Committee Secretary to the Leadership Team Committees of London Branch and NAB Europe Risk, or any other committees as required from time to time.

·         With the support of the Governance Senior Associate, organise and provide support on all governance matters in meetings as required:

o    Develop and maintain the calendar for governance bodies’ meetings (shareholder assembly, Board, Executive Committee and Risk Executive Committee) and convene these meetings;

o    Develop agendas and support the relevant Chairs in planning and preparation for meetings;

o    Preparation and distribution of minutes and actions;

o    Review the quality of papers prepared by management and provide advice and guidance on content to ensure it is relevant and appropriate for the audience;

o    Preparation and distribution of meeting packs;

o    Liaising with management people preparing papers and presentations;

o    Maintain and manage corporate records in accordance with the applicable legislation and NAB and NAB Europe policies, procedures, and standard processes.

·         Provide advice and guidance on governance matters, including directors duties, delegated authorities and other governance policies, principles and requirements.

·         Develop and oversee the systems that ensure that the companies comply with all applicable codes, in addition to its legal and statutory requirements.

·         Monitor changes in the relevant legislation and regulatory environment and take appropriate action to update support the business on these changes.

·         Manage filings with Companies House and [French regulator].

·         Represent the Group on external forums as required or requested.

·         Maintain strong engagement with NAB’s Group Governance function in Australia.

 

Data Privacy

·         Working closely with the Group Privacy Office the Privacy Consultant is responsible for

o    assisting in the development, support and deployment of the Global Privacy Office’s data protection and privacy strategy

o    reviewing and guiding privacy impact assessments and privacy by design initiatives

o    developing targeted privacy education content, monitoring compliance with NAB privacy standards and controls

o    providing guidance to business stakeholders on privacy compliance under local and global privacy laws applicable to NAB 

o    regularly provide SME advice across the NAB London Branch and NAB Europe SA

o   managing the annual ROPA review

o   managing the operation of all privacy related controls to ensure NAB London and Europe obligations are met

General

·         Maintain local regulatory policy, templates and standard operating procedures, ensuring any local regulatory changes are updated.

·         Support the training of the Governance Senior Associate to become an SME in both Company Secretary and Data Privacy activities to ensure there is sufficient coverage of all activities

 

Required Skills

·         3 5 years of legal, governance or business experience.

·         Experience working with a board of directors.

·         French language skills with board of directors (verbal and written) desirable.

·         Strong administrative skills and an aptitude for using IT software.

·         Strong knowledge of GDPR requirements

·         Excellent written and verbal communications skills

·         Experience at a senior level within business and regulated environment.

·         Experience of developing relationships at a senior level.

·         Meticulous attention to detail.

·         Excellent organisation and time management.

·         The ability to take the initiative.

·         A flexible and practical approach to work.

·         Discretion and diplomacy.
