Senior Law Clerk or Paralegal

The Senior Law Clerk or Paralegal will provide support in the coordination and execution of legal documentation, agreements, and initiatives within the business.
 

What you’ll do:

 

Transactions & Projects:

  • First point of contact for business requests relating to franchise documents
  • Conduct and report on due diligence searches
  • Draft transactional agreements relating to franchise grants, renewals, and amendments
  • Ensure that security registrations are made and maintained
  • Liaise with business colleagues to ensure execution and retention of key contracts
  • Work with in-house legal counsel on various transactions and projects

Document Templates:

  • Create and revise template documents, including those relating to franchise grants, share purchase transactions
  • Update franchise documents on an annual basis, including executing internal verification procedures to capture changes in material facts

Processes and Tools:

  • Maintain precedent database/version control
  • Ongoing contact with IT department to implement new technologies and improve contract compilation tools
  • Champion records management processes

 

What you’ll need:

 

  • College diploma in paralegal or other relevant training/experience
  • Minimum 5 years of experience in a paralegal role preferred or any relevant legal experience in-house environment will be considered
  • Expertise in the area of franchising is an asset or other commercial contracts
  • Communications – abilities for communications either verbally or in writing in both languages French and English
  • Keen attention to detail, process-oriented
  • Analytical, organizational and problem solving skills
  • Abilities to manage various files
  • Flexibility and willingness to adapt
  • Team player, comfortable in a highly collaborative environment and has the ability to work independently
  • To maintain strong relationship building skills both internal and external of the legal department
  • Proficient with MS Office and Sharepoint
  • Familiar with the use various websites/platforms, such as the Registre des droits personnels et réels mobiliers and others
