Responsibilities
Provide corporate governance legal support for numerous global subsidiary legal entities in the engineering and technical consulting industry, including:
Preparing and managing documentation to support Board of Directors and shareholder actions.
Providing corporate support and oversight of corporate subsidiaries around the world through formations, dissolutions, drafting of governing documents, and state/jurisdictional filings.
Organizing and maintaining corporate minute books, records, and files.
Responding to internal and external KYC, UBO, and similar requests.
Supporting the equity program.
Act as a key resource on governance matters, driving process improvements and innovative solutions that enhance efficiency and compliance.
Collaborate closely with LCR Department attorneys, paralegals, and non-lawyer professionals supporting these businesses to accomplish the required corporate governance activities and meet the needs of the business.
Provide guidance on governance projects, influencing best practices across the organization.
Collaborate closely with business leaders to manage corporate governance activities.
Manage relationships with external service providers and/or outside legal counsel to perform required corporate governance activities.
Assist with developing and implementing new technology and tools to improve the accuracy and accessibility of corporate governance resources and reports to create efficiencies within the organization
Support the Tax and Financing & Accounting teams with tax forms and certifications.
Support team, department, and cross-functional projects and priorities as needed.
For the right candidate and based on experience, work with the General Counsel on matters related to the Board of Directors and other corporate governance.
Contribute to high-impact, strategic governance projects in collaboration with senior leadership.
Required Qualifications:
JD with a minimum of 2 years of combined general corporate, regulatory or transactional experience with a law firm, accounting firm, and/or corporate law department.
Licensed to practice law in a state/province of the United States or Canada.
Strong written and oral communication skills to collaborate with internal teams and external stakeholders.
Demonstrated experience in United States and/or Canadian legal systems.
Proven ability to manage complex projects with precision and autonomy.
Capability to work in a fast-paced, collaborative team environment.
Keen attention to detail and quality of work product.
Experience with designing and/or implementing new scalable processes.
Proficiency in or the ability to quickly learn legal entity management, such as Diligent, and document management tools.
Ability to handle and be trusted with confidential and/or sensitive information.
Initiative, resilience, leadership, professionalism and ability to adapt to change.
Solid logical reasoning skills.

Preferred Qualifications:
Prior exposure to international legal systems, including those in Europe, Latin America, Middle East-Africa, and/or Asia Pacific.
Additional business proficient or native language skills (preferably French, Spanish, or Mandarin.)
TYLin is committed to pay equity. As part of that commitment, we have provided the base compensation range of $130,000 CAD- $198,000 CAD annually for this position and local market.
