Legal Counsel (Senior Consultant) will be responsible for the provision of quality legal support to the company which covers transactional work, compliance, legal advisory services and ensuring effective management of legal and contractual risks. This role reports to the SEA Legal Lead and Australia Legal Lead.

Day-to-day, you will:

  • Work with solution areas, business development executives, finance and delivery management team to structure, review, draft and negotiate client transactions.
  • Identify, manage and to advise the company on legal and commercial risks associated with transactions, their potential impact and suggested mitigating actions.
  • Organize, anticipate and maintain local compliance through regular support and monitoring of Avanade’s general legal needs, with the objective of avoiding the disruption or discontinuity of Avanade’s local operations for noncompliance reasons.
  • Provide quality legal advice on corporate governance, labour and employment, disputed matters and provide legal support to other corporate functions.
  • Manage external counsel and company secretary as necessary.

Key responsibilities:

  • Draft, review and negotiate a broad range of IT consulting and system integrator related service contracts.
  • Review and help draft bid proposals in response to tenders, RFPs, RFQs, etc.
  • Identify commercial and legal risks and develop risk mitigation strategies to manage the risks.
  • Structure client transactions to be most advantageous from a legal and business perspective.
  • Counsel, advise and consult stakeholders based on accurate interpretation of contract documents and the facts of a business opportunity.
  • Prepare escalation for variances from contracting policy or unusual commercial and legal risks.
  • Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into company’s transactional practices.
  • Develop internal guidelines, toolkits and packaged knowledge on various legal and business issues.
  • Develop subject matter expertise in one of more areas that benefit the Avanade Legal Group and/or our business (e.g., company law, competition law, employment law, data privacy and market unit expertise).
  • Support and attend to other duties as may be assigned by the SEA Legal Lead and Australia Legal Lead.
  • Support, promote and implement initiatives introduced by the Avanade Legal Group.
  • Manage and ensure that corporate governance requirements are met, up to date and in compliance with local laws.
  • Support the global compliance strategy and the related global compliance programs implementation, in particular, working with the global compliance team.
  • Support litigation, disputes, corporate investigations and the internal audit team, as needed.
  • Resolve issues and disputes, minimize potential for litigation and foster protection of Avanade’s reputation.
  • Provide legal education and training for our employees.

In addition, you have:

  • Malaysia or Singapore qualified attorney.

  • 6 to 8 years of experience as an attorney and with experience working in private practice and in a corporate legal department (experience in IT industry is a plus).

  • Deep knowledge of, or ability to understand relevant laws (including contract, commercial, information technology, intellectual property and employment laws) and also the business and work culture in APAC jurisdictions (notably, Malaysia, Singapore, Thailand, Indonesia and Australia) including those pertaining to compliance.

  • Demonstrates excellent judgment, ability to prioritize and make decisions.

  • Strong time management, prioritization and organizational skills with ability to meet deadlines with short time frames and work under pressure. Highly responsive and follows through on commitments.

  • Superior communication skills, particularly with respect to active listening to and integrating information from various sources quickly and communicating legal advice in a practical form in a business context.

  • Experience in structuring, negotiating, drafting and reviewing complicated technology consulting arrangements.

  • UpToDate working knowledge of the Microsoft ecosystem and cloud computing are a plus.

  • Ability to work within a hierarchy and corporate multinational matrix both live and virtually across time zones.

  • Ability to work independently with some supervision from time to time and to escalate issues in a timely manner for resolution.

  • Fluent in English (reading, writing and speaking). Malay, Thai or Indonesian language ability is a plus.
