PermanentThis Senior Legal Counsel role within the NAB London Legal team will be responsible for providing legal support to the Markets and Corporate Finance businesses primarily of NAB London Branch and NAB Europe (NAB’s Paris subsidiary) but where appropriate you could be asked to assist the wider NAB Group in other international locations (the “NAB businesses”) identifying legal, regulatory and reputational risks in relation to these.You will be asked to provide occasional cover support for the Debt Capital Market Team (“DCM”).
The support for the Corporate Finance activities will include a variety of activities including syndicated lending, specialised asset finance, funds finance and other structured finance transactions. The Markets support will relate to hedging various risks in relation to the Corporate Finance lending activities as well as generalist support to our Markets business operations.
In addition to providing cover support for DCM, you will also be expected to assist with ancillary matters such as regulatory change and ad hoc queries which may arise from the rest of the NAB Group.
Core responsibilities:
In respect of our NAB businesses (with a focus on Corporate Finance and Markets):
Assisting with the legal review and negotiation of documentation for NAB’s lending activities within the Corporate Finance businesses and hedging activities for NAB Markets business.
Drafting legal transactional documentation including, by way of example, ISDA, GMRA and other Markets master and related documentation as well as amending deeds, side letters and relevant clauses for loan agreements, mandate letters, confidentiality agreements.
Advising on and facilitating transactions and projects at a strategic level, including, where appropriate, reviewing and drafting legal documentation to ensure legal compliance, management of legal risks and reduce the potential for legal claims;
Advising on regulatory matters relevant to Corporate Finance and Markets.
Assisting with the implementation of regulatory change relevant to the Corporate Finance and Markets businesses.
Monitor and supervise external legal advisers, manage panel relationships, facilitate communication with end users, identify process improvements/efficiencies, evaluate performance and contain/monitor costs;
Support the Head of Legal, on all material matters on a timely basis, including those involving, regulatory, reputation and operational risk exposures;
Providing legal advice and assistance with the drafting of NAB policy documentation.
Providing legal advice and assistance on other business projects, compliance systems and wider commercial work.
Drafting legal precedent documentation and delivering other efficiency and system improvement measures.
Identifying and escalating issues, risks, breaches (and potential breaches) to relevant stakeholders and assisting in the management and advice in respect of those risks.
Undertakes regular post qualification training to maintain sound understanding of current legal developments affecting the NAB Businesses; particularly in relation to laws and regulations relating to the Corporate Finance and Markets businesses.
Provide support and training to members of the wider London Legal Team, both formal and informal
Experience, skills and knowledge:
Qualified solicitor with experience in a leading legal practice or experience in the legal department of a major bank or corporation.
Experience or capability to support the following specialities: leveraged, energy & infrastructure or project finance, work-outs, restructuring and insolvency, cross border transactions, LMA transactional documentation (leveraged and investment grade) and market practice, corporate lending, funds finance, banking litigation and professional negligence.
Experience with structuring and documenting various Markets’ transactions with a sound understanding of regulatory compliance and regulatory capital implications for both existing and new products.
Proven ability and openness to provide support across a diverse range of legal work required to support our NAB businesses from time to time.

Qualifications:
Practising solicitor of England & Wales or other appropriate jurisdiction with 10+ years PQE
