Are you a versatile attorney with a passion for executive compensation, corporate governance, and ESG compliance? Salesforce is looking for a dynamic Corporate Counsel to join our team and support a variety of critical legal matters. This role offers a hybrid schedule, working in the office three days a week. You can be based in one of our vibrant offices in San Francisco, CA, Palo Alto, CA, Seattle, WA, Indianapolis, IN, Chicago, IL, Dallas, TX, or Austin, TX.

What You'll Do:

  • Provide expert advice on compensation-related disclosure and corporate governance matters, including for the Company’s Annual Proxy Statement and annual shareholder meeting
  • Assist with domestic and international environmental, social and governance (ESG) reporting and disclosures, including advising on reporting frameworks and requirements
  • Assist with Section 16 compliance, including all related Section 16 filings
  • Advise on insider trading compliance and Rule 10b5-1 trading plan review and administration
  • Offer guidance on broad-based domestic and international equity compensation matters, including global equity incentive plans and employee stock purchase plans;
  • Support the Board of Directors, particularly the Compensation Committee
  • Assist with NYSE listing and governance requirements
  • Advise on additional corporate governance, securities, and executive compensation matters, including keeping key partners informed on relevant updates
  • Partner with cross-functional teams, including finance, Employee Success (HR), Total Rewards, Global Equity Plan Services, payroll, tax, treasury, and accounting on various global equity, executive compensation, and employee benefits matters
  • Advise on executive and equity compensation aspects of M&A activity
  • Advise on 401(k) Plan governance and related matters

What We're Looking For:

  • Juris Doctor degree and in good standing to practice law in the applicable state.
  • Three to five years of proven experience, including with a top-tier law firm, advising public companies on corporate, securities, executive compensation, and/or global equity incentive compensation matters.
  • A combination of in-house and law firm practice is preferred, but not required.
  • High degree of professionalism and personal standards of excellence and ethics, with the ability to act with discretion and sensitivity.
  • Growth mindset, flexibility, and a desire to work on a variety of legal matters.
  • Strong drive to learn and grow in a fast-paced environment.
  • Outstanding legal and business judgment and the ability to handle sensitive and confidential information.
  • Excellent communication and interpersonal skills.
  • Highly responsive and service-oriented; ability to organize, prioritize, and manage timelines in a fast-paced and demanding work environment; excellent project management skills.
  • Ability to find creative solutions to issues, balancing legal risks against business interests.
  • Extremely high attention to detail.

For Washington-based roles, the base salary hiring range for this position is $176,800 to $243,100.

For California-based roles, the base salary hiring range for this position is $192,900 to $265,200.

Compensation offered will be determined by factors such as location, level, job-related knowledge, skills, and experience. Certain roles may be eligible for incentive compensation, equity, benefits.
