The Corporate Counsel is responsible for the legal, compliance and regulatory affairs of the Sym-Tech organization, as well as all other Canadian operations of the Amynta Group. The Corporate Counsel provides the CEO, President and senior leadership team of Sym-Tech with effective legal advice on the company’s strategies and their implementation and manages Sym-Tech’s legal, compliance and regulatory function. In addition, the Corporate Counsel serves as the lead attorney providing legal, compliance and regulatory support to the senior leadership of the Amynta Group’s other Canadian operations, reporting directly to Amynta’s General Counsel. The Corporate Counsel is directly involved in complex business transactions and negotiating critical contracts and plays a key role in the implementation of high priority strategic initiatives across the organization.

Responsibilities:

  • Gives accurate, timely and forward-thinking counsel to senior business leaders and management within Sym-Tech and the Amynta organization, including engagement in proactive issue-spotting, risk assessment and problem-solving
  • Provides counsel on Canadian licensing requirements and manages and maintains all requisite Canadian licenses across Sym-Tech and Amynta
  • Responsible for corporate governance and entity management across Sym-Tech and Amynta’s other Canadian entities
  • Advises on and provides assistance with mergers and acquisitions and other strategic initiatives
  • Provides leadership in the development and communication of Sym-Tech’s privacy policies and procedures
  • Negotiates, drafts and reviews a broad selection of contracts, including master services agreements and related scopes of work, dealer agreements, agreements with insurance carriers, reinsurance agreements, IT agreements, employment agreements and other corporate contracts
  • Identifies and advises on legal and business risk associated with business opportunities, including compliance with applicable laws and regulations
  • Advises and supports human resources with employment and labour law matters
  • Performs pre-litigation work to minimize risks and maximize cost efficiencies
  • Provides training to the business on substantive legal topics
  • Keeps abreast of legislative changes that may affect the business and researches unique legal issues impacting the organization
  • Communicates effectively with counter-parties of the business, including insurance carrier partners, dealers, agents and regulators

Qualifications:

  • 10+ years’ experience as a practicing attorney
  • Law degree from an accredited Canadian law school
  • Insurance or automotive F&I industry experience preferred
  • Bilingual fluency in English and French
  • Visionary and strategic leader committed to the highest standards of excellence
  • Exceptional analytical, interpersonal, and written and oral communication skills, as well as personal and professional integrity
  • Able to make sound legal decisions under tight deadlines and to evaluate risks in light of business concerns
  • Ability to work on a large volume and variety of projects, and prioritize/organize workload in a dynamic, fast-moving environment
