Responsible for outbound M&A/ECM transactions with Mainland China clients and in the Asia Pacific region, coordinating with the Team Head to originate and execute Corporate Finance business and support overall activities.
Key Responsibilities
Support the origination and execution of M&A/ECM transactions, interfacing with clients principally in Mainland China and also in the Asia Pacific region and with Santander industry sector and local Corporate Finance teams in the bank’s core geographies.
Assist in the origination and marketing of outbound Corporate Finance engagements with Mainland China and Asia Pacific region clients by preparing pitch books and market updates, actively participating in meetings with potential clients and requests for proposal (RFPs) and Financial Adviser’s selection processes.
Performing financial valuations, including discounted cash flow and multiples-based analyses, preparing detailed financial models and valuation reports to assist and advise our clients to analyse and support acquisitions or disposals and assist clients with the preparation of materials to support their internal approvals processes and investment committees in relation to such transactions.
Managing sell side and buy side M&A processes, involving coordinating sell side activities with potential bidders, including the identification of potential bidders, preparation and circulation of teasers, NDAs, Information Memoranda, process letters and other marketing documents required in the first stages of M&A transactions.
Lead due diligence activities, including coordination of Q&A processes, review of business plans and financial models of potential targets coordination of management presentations, expert sessions and site visits and preparation and review of transaction documentation and timetables.
Overall project management, including coordinating the roles of internal and external team members and professional advisers, coordinating and reviewing the work of our clients’ other external advisors and engaging and representing the client in discussions with the other parties’ advisors.
Supporting Corporate Finance Asia with the preparation of analyses, briefing materials and approval documents for internal committees and supporting other product and client coverage banking teams with the preparation of valuation and other presentation materials relating to the analysis of business opportunities.
Requirements
University graduate in economics or business in major with strong academic record, preferably with an MBA.
Minimum 1 year of M&A and transaction advisory experience preferably in leading international investment banks.
Proven qualitative and quantitative financial modelling, corporate finance valuation and analytical skills and relevant expertise. Familiar with corporate finance data bases, analysis tools and software applications.
Strong interpersonal and networking skills, with a track record of advising and prior close interaction with Mainland China clients (including SOEs and POEs) and clients from the Asia Pacific Region, where relevant.
Strong communication and presentation capabilities.
High proficiency in spoken and written English and Mandarin. Knowledge in Spanish will be an advantage.
