The Role:
Reporting to the Deputy General Counsel, Corporate and Securities, the Counsel, Legal Affairs will be a hands-on, innovative, and collaborative attorney with experience in the biotechnology or pharmaceutical industry to act as our Counsel, Legal Affairs. 

The legal team member will be a will partner with the Deputy General Counsel and other team members on a broad range of matters to provide high quality legal, compliance, and contracting advice to help advance Nuvalent's business strategy, while exercising discretion, professionalism and solid judgment. This exciting position will be a key member of our legal team with the opportunity to make an important impact on our company while ensuring a cohesive, collaborative, inclusive, and fun workplace experience.

Responsibilities:

  • Independently support precommercial and commercial legal needs, including drafting, negotiating, and reviewing a broad range of commercial contracts, including commercial supply, patient hub services, product purchase, speaker, market access and commercial vendor agreements.
  • Actively and effectively provide clear legal advice to internal stakeholders across key business functions, including support for commercial, medical and pipeline initiatives.
  • Assist Deputy General Counsel in managing public securities legal and compliance-related matters, collaborating with internal stakeholders on SEC filings, such as 10-Ks and 10-Qs, 8-Ks and proxy statement, while leading others, including Section 16 filings
  • Assist Deputy General Counsel and CLO with corporate governance matters, including drafting and reviewing minutes, maintaining committee charters and other key governance documents, and developing quarterly meeting agendas
  • Stay current with evolving legal guidance and pharmaceutical, regulatory and policy initiatives, and partner with key stakeholders to develop, implement and maintain policies and procedures to ensure compliance in a way that advance’s the company’s strategy while protecting its integrity and reputation.
  • Act as an advisor on legal issues involving the organization’s governmental, privacy and regulatory compliance

 Qualifications:

  • 4+ years legal experience with a publicly traded biotechnology or pharmaceutical company and or a law firm advising internal stakeholders or clients on commercial contracting, public company reporting and compliance matters
  • Prior commercial experience is required; experience advising a company through its initial commercial launch preferred.
  • Broad, legal counsel experience in an emerging, publicly traded company environment is a plus.
  • Juris Doctorate from an accredited law school and member of at least one U.S. state bar required
  • Experience with drafting and negotiating a broad range of contracts specific to precommercial and commercial life sciences companies
  • Strong knowledge of laws relevant to precommercial and commercial stage public companies focused on the discovery, development and commercialization of biopharmaceutical products, including but not limited to relevant FDA, securities, employment and other laws.
  • Understanding of pharmaceutical regulatory and compliance environment and working knowledge of general corporate matters
