JOB SUMMARY:

The Paralegal will assist with the day-to-day management of the commercial contracts of D2L and its subsidiaries including partnerships, channels, vendor, and customer agreements. The position is part of a collaborative, team-based approach to corporate legal services.   

This role will develop playbooks and processes, generate reports, design and implement data-driven strategies to control costs, forecast resource and budget needs, and monitor internal and external resource performance.  

HOW WILL I MAKE AN IMPACT?

  • Review and approve sales orders, specifically commercial terms required on such orders 
  • Assist counsel with drafting, reviewing and negotiating a broad range of corporate/commercial agreements and related documents, including partnership, non-disclosure, license and similar agreements 
  • Assist with RFPs and procurement efforts  
  • Provide timely and actionable legal advice on marketing materials 
  • Support the continuous improvement of legal and business processes to promote efficiency 
  • Perform any other administrative and/or operation-related tasks to support the legal department in the performance of their functions 
  • Cross-functional project management 
  • Any other tasks as assigned from time to time 

WHAT YOU'LL BRING TO THE ROLE:

  • Legal Knowledge: Possess an understanding of corporate and commercial law, contract law, and other relevant legal areas. Understanding of relevant laws, regulations, and compliance programs to assist in their implementation and provide guidance on adherence to legal requirements. 
  • Experience in Corporate Law or Commercial Law: Prior experience working in a legal department or law firm, with a focus on corporate law or commercial law, would be beneficial. Familiarity with contract review, corporate governance, and commercial agreements is highly desirable. 
  • Legal Research Experience: Demonstrated experience in conducting legal research, using legal databases, and analyzing relevant statutes, regulations, and case law to support legal decision-making. 
  • Contract Review and Drafting Experience: Proven experience in reviewing, drafting contract terms and other legal documents, with a strong attention to detail and accuracy. 
  • Organizational and Record-Keeping Abilities: Excellent organizational skills to manage corporate records, including minute books and agreements.
  • Communication and Collaboration: Effective communication and teamwork to collaborate with corporate counsel, employees, external counsel, and various D2L stakeholders such as Sales, People and Culture, Marketing, etc. 
  • Problem-Solving and Analytical Thinking: Strong problem-solving skills and analytical thinking to help identify potential risks and propose solutions.
  • Time Management and Multitasking: Skilled in managing multiple priorities and deadlines effectively. 
  • Attention to Commercial Terms and Sales Orders: Keen eye for detail when reviewing and approving commercial terms. 
  • Training and Presentation Skills: Ability to conduct internal training sessions and presentations on legal and compliance topics for employees from different functional areas. 
  • IT and Legal Software Proficiency: Familiarity with legal software, document management systems, and proficiency in using productivity tools like Microsoft Office. 
  • Confidentiality and Ethics: Strong commitment to maintaining confidentiality and ethical standards in handling sensitive legal information and matters. 

EDUCATION RECOMMENDATIONS:

  • Paralegal Certification or Degree or equivalent
  • Licensed under the Law Society of Ontario or equivalent licensing body 

Location Information: Our ideal candidate is located in Ontario and is able to come into our Kitchener Office on occasion. 

The expected base salary range for a new hire in this role is listed below. The annualized base salary offered is determined by each candidate’s relevant knowledge, skills, education, training and experience. It is aligned to ensure both internal and external competitiveness using market data for the geographic location and industry. As part of the total compensation at D2L the role may be eligible for additional benefits including a Wellness Subsidy, Equity Grants, Variable Incentive, and more.

Base Salary Range
$56,000$62,000 USD
