Director, Controversy, M&A, Global Tax Planning

Core Responsibilities: 

  • Lead US Tax controversy (including MAP) and lead US international tax support to IRS examinations and  with emphasis in TCJA/   global tax audits. 
  • Manage tax due diligence for US and foreign acquisitions including coordination with advisors on tax due diligence; ensure tax efficient transaction structuring; provide tax input to financial models; post-acquisition integration implementation
  • Analyse, advise and implement on global strategic tax planning opportunities, including tax efficient cash repatriation strategies, tax efficient capital/loan structuring
  • Analyse and advise on advanced pricing agreements (APA's) 
  • Monitor, analyse and advise on proposed and enacted tax legislative and regulatory changes with focus on US, including OECD initiatives
  • Advising on vendor contracts 
  • Review customer contracts for appropriate contracting parties and other tax considerations
  • Individual contributor, work together cross functional in a global tax team, encouraging a collaborative team atmosphere

  

Qualifications:

  • 15+ years of broad-based tax experience in a fast-paced environment with Big 4 public accounting firm and inhouse/corporate experience in a high-tech company a plus
  • Strong skills in reviewing legal agreements including deal documentations in M&A transactions, license agreements, and general understanding of M&A deals
  • Ability to model and illustrate the tax impact of tax structure and deal alternatives and effectively communicate to other relevant stakeholders 
  • Must be able to prioritize, work independently and effectively communicate to tax and business colleagues, both domestically and aboard
  • Ability to work as a team member, building productive relationships throughout the organization
  • Excellent verbal, written and interpersonal skills enabling effective cross-functional communication.
  • Bachelor’s degree in Accounting, strong accounting skills; MST or CPA a plus
