Job Summary:

Drive and oversee all legal aspects across multiple jurisdictions (Mexico, Central America, Caribbean, and Northern South America) related to the management of the company´s operations of its financial products, including local and cross-border loans and leases, with focus on portfolio management and origination of standard and non-standard financing agreements. Additionally, responsible for the corporate governance of the company and its subsidiaries, as well as providing support to the Compliance team. Supervise one attorney.  Collaborate cross-functionally, implement proactive risk management strategies, and provide strategic legal support to senior leadership and business teams.

What You Will Do:

  • Portfolio Management: Lead and implement legal strategies for the management of default accounts. Drive the resolution process through litigation or negotiated settlements, including restructuring payment terms and repossession of collateral. Develop and maintain reporting processes to monitor portfolio health and ensure timely updates to senior leadership and business stakeholders.
  • Credit & Operations support: Work closely with operational teams, including finance, collections, and risk management, to align legal strategies with broader business objectives. Ensure seamless integration of legal activities into business operations and support the business in driving effective decision-making related to portfolio performance and risk mitigation. Periodic review of our financial agreements to ensure that we are following local regulations in each country in which we operate. Also, monitoring regulatory changes in each of those countries on a regular basis.
  • Corporate Governance: Manage corporate governance responsibilities, including maintaining corporate books, drafting resolutions, and ensuring the accuracy of corporate records. Prepare and organize documentation for shareholders’ and board of directors’ meetings, ensuring compliance with legal and regulatory requirements.
  • Compliance Management: Oversee legal compliance for portfolio management activities across multiple jurisdictions, ensuring adherence to local and international laws and regulations. Provide legal advice on compliance risks, collaborate with Compliance team to implement processes to mitigate these risks, and ensure all legal activities meet internal and external regulatory requirements.
  • Advise management and provide clear recommendations on legal matters and related risks.
  • Provide legal support for a business division or significant legal practice area through supervision of a team, or coordination of a network of legal professionals, or serving as a subject matter expert.
  • Research complex legal issues and reviewing and drafting legal documents consistent with legal strategies and goals in line with company's business objectives.
