Job Description

Reporting to the Contracts Manager, the Contract Specialist will work with our small in-house legal team to finalize contracts and other legal documents. We work primarily with Master Services Agreements, Statements of Work/Work Orders, Change Orders, Clinical Site Contracts, Vendor Contracts, NDAs, Independent Contractor Agreements, and internal contracts.

Essential Job Functions

  • Acting as a business partner to our three business units, provide advice and contract review that focuses on capitalizing on opportunities while addressing major risks.
  • Draft, edit, negotiate, and finalize contracts in an efficient and effective manner.
  • Assist in the development, maintenance, revision, and implementation of standard templates, forms, and processes for improvement and scalability of internal legal services.
  • File contracts in SharePoint database as needed; pull reports to assist our business units in tracking current and expiring contracts.
  • Other tasks as requested.

Preparation, Knowledge, Skills, & Abilities

  • Two + years’ experience in drafting, reviewing, and negotiating commercial agreements.
  • Bachelor's degree
  • Basic understanding of privacy laws
  • Strong analytical ability with sound business judgment and a balanced approach to risk mitigation
  • Superior written and verbal communication skills with demonstrated ability to clearly explain issues to a non-legal audience.

  • Collaborative, quick learner
  • Fluent in English

Additional Competencies

  • Experience in the healthcare industry, especially in a CRO or other clinical area is a plus.
  • Fluency in French is a plus.

Working Conditions/Physical Demands

  • Authorization to work permanently in the U.S.
  • Normal office working conditions including frequent sitting, standing, bending, twisting and computer monitor use. Occasional lifting, up to 30 lbs.
