Scope and responsibilities

Based in Luxembourg, the role requires a detailed and process orientated approach to the administration of Luxembourg companies, which are invested in by Oaktree funds. Responsibilities will include:

  • Helping with the approval and RCS filing of the annual accounts;
  • Incorporating new Luxembourg entities (drafting of AOIs and other necessary documentation);
  • Being in charge of basic KYC documentation and filings (such as RBE filings...);
  • Liaising with banks (bank account openings) and notaries (EGMs, notarization of documents);
  • Organizing ad-hoc and quarterly board meetings (with managers and external parties);
  • Saving and sorting transactional documentation;
  • Maintenance of the companies’ registers (shares, financial instruments…);
  • Collecting signatures on legal documents (NDAs, POAs, agreements, BOMs, etc.);
  • Creating and updating structure charts, liaising with the relevant parties;
  • Physical and electronic filing, creation and maintenance of legal binders;
  • Maintaining and developing databases for the Luxembourg legal team and preparing various reports;
  • Assisting with ad hoc secretarial tasks and other projects as necessary;

Experience required

  • At least 5 years in a corporate secretarial or administration function, preferably in Luxembourg;
  • Experience of managing a large number of requests and demonstrating an exceptional focus on prioritizing tasks and meeting deadlines;
  • Strong organizational skills and good knowledge of the Microsoft Office pack; and
  • Basic Luxembourg Corporate Law and Governance knowledge is an asset.

Education

Bachelor degree

Fluent in English; French and/or German is an asset;
