Senior Legal Counsel

  • provide strategic and legal advice for all matters that are relevant to the Alcon franchises to ensure all matters requiring legal and compliance support are handled effectively;
  • responsible for reviewing marketing models/projects/activities for compliance with applicable laws and regulations (including FEMA, RBI, FDI regulations) as well as Alcon standards and policies;
  • provide substantiated recommendations and advice enabling Alcon to appreciate its contractual and statutory obligations;
  • manage disputes and litigation independently and evaluate projects with a robust risk assessment, driving compliance awareness and effectiveness, especially on new strategic business models and/or omni-channel or digital initiatives for the franchises, with a particular focus on ant-trust and anti-bribery;
  • is responsible for providing strategic and legal advice in (and for ensuring the legal sufficiency of) all matters that are relevant to business, such as, for illustration, contracts (e.g. marketing, promotion, purchasing, in-licensing, consultancy, employment, etc.), intellectual property enforcement, litigation, and employee relations. In addition, he/she is responsible for establishing, promoting, and reinforcing compliance standards, aligned with local laws and regulations and company-wide compliance policies in close collaboration with the Country Compliance Officer;
  • This experienced leader also provides strategic legal and compliance guidance and training in key legal areas.

Major Accountabilities

Serves as Local legal business partner to the local leadership organization, including but not limited to:

  • Provides substantive and strategic legal support to the Surgical and Vision Care Franchise heads and other local leaders and their respective teams, and more specifically advises on the execution of franchise projects at local level (launch of key products, new surgical business models and strategies, equipment purchase arrangements, pricing and discount policies, etc.);
  • Monitors and influences legal and compliance developments; ensures that the business considers legal and compliance trends and risks in the execution of the business strategy;
  • Drafts complex transactions and directly negotiates agreements for the regional and local organisations i.e. equipment financing agreements, sale and purchase agreements, etc.
  • Provides strategic and contextual legal advice and guidance (incl. training of key customers in specified legal areas) with strong operational and business acumen by setting legal necessities in context with competing operational needs;
  • Manages legal housekeeping;
  • Mitigates litigation risk exposure to defend Alcon’s reputation and manages significant disputes/ litigations and/or investigations.
  • Managing and navigating Contract Lifecycle Management and advice associates on e-platform available in this regard  
  • Work with Group Intellectual Property Department/Group Litigation Team to enforce and defend Alcon intellectual property rights.
  • Taking a lead role in all governmental and/or similar audits and investigations, Corporate internal Audit, ensuring proper support.
  • Advice on matters pertaining to Data Privacy, GDPR etc. (relevant to India)  
  • Support internal investigations, Domestic enquiry, POSH Matters etc.
  • Leads projects within Regional Legal function, and provides legal support for commercial initiatives and activities and acts as the data privacy main point of contact;
  • Ensures adherence to the Alcon Outside Counsel Policy and manages the work of external law firms (when needed).
  • Travels as needed within the country and region to provide advice and training.

Integrity and Compliance

  • Supports the establishment of Compliance standards based on internal policies all applicable local laws and regulations; in collaboration with the Country Compliance Officer
  • Support and facilitates the establishment and communication of local processes and SOPs covering promotional content, Interactions with HCPs/Patients and Grants and any additional local requirements. Engages in global compliance initiatives as required and champions ethical tone in organization.

Ethics and Integrity

  • Works closely with the Regional Compliance Officer and country Compliance Officer to foster a culture of ethics and integrity in the organization;
  • Works to foster a diverse and inclusive environment free from all forms of discrimination and harassment.

Education:

  • University degree in Law from India (master’s degree from an Indian or overseas university is beneficial)

Languages:

  • Fluent in English (verbal and written)

Experience/Professional Requirement:         

  • > 12-15 years of PQE
  • Extensive experience in legal practice (preferably including experience related to the medical device/pharma industry and working in an in-house environment.
  • Minimum 2-5 years of relevant working experience in multinational companies or consulting firms
  • Proven ability to proactively provide insightful and timely legal support to stakeholders across a functionally and geographically-dispersed organization.
  • Excellent verbal and written communication skills.
  • Persuasive negotiator and ability to influence internal and external stakeholders.
  • Demonstrates professional & culturally sensitive work ethic
  • Strong leadership skills.
  • Sound experience in litigation.
  • Strong experience in handling a high volume of activity involving multiple projects simultaneously
  • Ability to represent Alcon externally on integrity / compliance topics.
  • Experience with corporate responsibility to balance global standards & local cultures.
