Job Description

About the role:

In this Senior Corporate Counsel role, you will be responsible for providing advice and legal counsel to FIS on a wide range of corporate and securities matters, including ensuring compliance with SEC and NYSE rules and regulations, preparing and reviewing SEC filings, assisting with matters related to the board of directors, and supporting various departments and functions, including finance, accounting, tax, investor relations and others as necessary. 

About the team:

You will report directly to FIS’ SVP, Corporate Secretary and Deputy General Counsel, and will work with a  team of seasoned governance professionals.

What you will be doing:

• Provide advice and counsel regarding compliance with the U.S. federal securities laws, as well as the applicable rules and regulations of the NYSE

• Prepare and/or review SEC filings, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Proxy Statements, and Section 16 filings

• Familiarity with corporate governance requirements (including charters and regulatory requirements)

• Assist with providing corporate secretarial support, including preparing and reviewing materials for board and committee meetings and preparing and planning for the annual stockholder meeting and shareholder engagements

• Provide advice and counsel on public disclosure matters, including press releases, earnings releases, investor presentations and other external communications

• Provide support to FIS’ Treasury department, including capital markets and securities/debt offerings, share repurchases, and credit agreements

• Assist the legal team on various other corporate matters, including subsidiary management.

• Other related duties assigned as needed.

What you will need:
• Juris Doctorate from an accredited law school with strong academic credentials required

• 8+ years legal experience, including at least 5 years practicing at either a major law firm or in-house legal department focusing on a broad range of securities and corporate governance matters

• Admitted to practice law in the appropriate jurisdiction.

• Demonstrated experience with public company reporting including the preparation and/or review of periodic reports, proxy statements, Section 16 reports and registration statements

• Detail-oriented with excellent legal judgment, strong organizational skills and proven ability to deliver creative, thoughtful, and business-oriented results

• Excellent verbal and written communication skills with the ability to tailor messages to be appropriate to the audience and avoid technical jargon

• Effectively deals with issues that are complex, confidential and sensitive in nature
• Excellent problem-solving, critical thinking and time management skills
• Effective team building, coaching and persuasion skills
• Intermediate to advanced negotiation skills with regard to complex issues and data


FIS is committed to providing its employees with an exciting career opportunity and competitive compensation. The pay range for this full-time position is $163,310.00 - $274,380.00 and reflects the minimum and maximum target for new hire salaries for this position based on the posted role, level, and location. Within the range, actual individual starting pay is determined additional factors, including job-related skills, experience, and relevant education or training. Any changes in work location will also impact actual individual starting pay.
