The Contract Manager is responsible for the preparation, negotiation, and general administration of contractual documents.  You will assist in conflict resolution, facilitate third-party due diligence, and follow-up as necessary for completion of engagement requirements.

Responsibilities:

  • Responsible for the preparation and negotiation of third-party contracts, including having primary responsibility for the preparation and negotiation of specific assigned contracts. Responsible for maintaining a list of all software programs and the review of hardware and software license & maintenance agreements. Contract Manager may be assigned more complex negotiations and contracting requirements.
  • Establishes and maintains the records of third-party engagement including the Sourcing Report and S Drive Folders.
  • Assist the Business Unit Relationship Manager in managing third-party relationships including establishing third-party relationships and conflict resolution.
  • Assist in the development and maintenance of the Third-Party Risk Management Policy and Procedures for the Contract Administration Group. Maintain a thorough working knowledge of the Third-Party Risk Management Policy and Procedures to ensure compliance with the governance requirements and practices.
  • Consult with Legal Services attorneys for contract reviews, legal guidance and changes to required legal documents.
  • Work across Business Unit stakeholders to ensure contracts and on-line agreements comply with the Company's policies and procedures, legal requirements, and financial control guidelines.
  • Assist in the maintenance of the Ariba repository and reporting. Follow-up with contract owners on all contracts due to expire. Ensure that all expired contracts are identified as closed within the repository and S Drive.
  • Assist with lender due diligence requests.
  • Provide back-up support to other members of the Contract Administration Group personnel as needed due to vacation, illness etc.

Knowledge & Skills:

  • Advanced Microsoft Office – Excel, Word, and PowerPoint
  • Advanced contract drafting and negotiation skills
  • Deep understanding of contract law and risk management
  • Software licensing contract language
  • Contract Processing and Terminologies
  • Third-Party interaction/management and negotiation skills
  • Relationship Management (Interpersonal) skills
  • Ability to manage multiple contracts and projects simultaneously

Education & Experience:

College degree, paralegal certification, or a minimum of 4+ years contract experience, contract law, third-party due diligence experience.
