Leidos has an immediate opportunity for a Senior Paralegal to join our Corporate Legal team in Reston - VA. In this role, you will play a key role in supporting the company’s corporate, securities, M&A and business attorneys. This is an excellent opportunity for a highly motivated and experienced paralegal to become part of a premier in-house legal team handling corporate governance, securities, regulatory, and transactional matters. We also provide the flexibility of occasional telecommute.
Responsibilities:
- Oversee the administration of domestic and international corporate entities, which includes maintaining registrations, coordinating international document legalizations, preparing status reports, and updating company records.
- Provide assistance in company formation, dissolution, restructuring, and officer and director appointments. This includes drafting key documents such as resolutions, written consents, and certifications.
- Handle all aspects of corporate filings with various local, state, federal, and foreign governmental agencies.
- Collaborate with members of the legal team, other internal stakeholders (including tax, finance, and human resources), and external counsel and advisors on corporate matters.
- Ensure the maintenance of corporate minute books and records.
- Oversee the management of the entity database.
- Draft key legal documents including resolutions, written consents, forms, and various certification documents.
- Coordinate international legalizations.
- Support due diligence efforts.
- Manage transactional closing documentation.
- Conduct specific legal research as required.
- Undertake special projects and additional duties based on the needs of the legal team or the company.
Required Qualifications:
- Bachelor’s degree and 12+ years of relevant paralegal experience. Additional years of relevant experience will be considered in lieu of a degree.
- Completion and certification of an ABA-approved paralegal degree or program.
- Exceptional interpersonal and problem-solving skills, strong attention to detail, ability to work effectively in a team, and commitment to professionalism, integrity, and collegiality.
- Excellent verbal and written communication skills.
- Demonstrated ability to communicate effectively with senior management.
- Self-motivated and able to complete assignments without extensive supervision.
- Experience with registration requirements for international legal entities and branch offices.
- Willingness to work on a broad range of legal matters.
- Ability to work well under pressure, prioritize workload, facilitate solutions, and meet deadlines for assigned projects.
- Strong analytical and research skills.
- Active VA notary public commission is beneficial.
- Proficiency in MS Office applications, including specific functionalities in Outlook, Word, Excel, and PowerPoint.

Pay Range:
Pay Range $108,550.00 - $196,225.00
