This Associate General Counsel position will report to the Chief Counsel, Finance. We have multiple office locations, including Arlington, VA, Salt Lake City, UT, Louisville, CO and NYC, NY.

Principal Duties and Responsibilities:

  • Attend to all aspects and issues related to renewable energy project financing, including financing of solar, solar plus storage, stand-alone storage and wind projects.
  • Act as lead internal counsel on tax equity and debt financings for such projects as well as corporate and trade payable financings and tax credit sale transactions.
  • Act as lead internal counsel on corporate financings, M&A financing transactions, sell-downs of equity interests in project portfolios.
  • Structure, draft, review and effectively negotiate tax equity and debt financing documentation, including portfolio financing structures with multiple projects being funded under the same construction debt, back-leverage debt, and tax equity partnership documents.
  • Experience in structuring, drafting, reviewing and negotiating power purchase agreements, engineering, procurement and construction contracts and other project-related documents is preferred.
  • Provide general legal counsel and strategic guidance to senior and executive level management as well as execution, project finance and treasury teams.
  • Effectively and efficiently engage and manage outside counsel.
  • Provide leadership and supervision to junior lawyers in the legal group and manage one or more junior lawyers and/or paralegals in the finance legal team.

Desired Experience and Skills:

  • At least 10 years of financing experience, preferably at a major law firm or sophisticated in-house legal group.
  • At least 7 years’ experience in project finance transactions for renewable energy projects with the ability to lead transactions as in-house finance counsel.
  • Experience in project development and project-related documentation.
  • Ability to manage complex transactions independently.
  • Commercial mindset and willingness to partner with commercial counterparts.
  • Passion for driving decarbonization.
  • Excellent communication skills, both oral and written.
  • Ability to adapt to a variety of duties and work in a fast-paced environment.
  • Smart, decisive, organized, methodical, biased toward action.


Education:

  • Bachelor’s Degree
  • J.D. from an accredited U.S. law school

FLSA Status: Exempt

Physical Demands/Working Conditions: This job operates in a professional office environment. This role routinely uses standard office equipment.

The expected salary for this position, at commencement of employment, is between $185,000 and $242,250/Annual; however, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements such as annual bonus, in addition to a full range of medical, dental, vision, life, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered.
