Hong Kong, China Hong Kong, Hong Kong (On-Site)The role
The incumbent will undertake legal and contract management works relating to transportation industry in Asia region mainly in Hong Kong, including projects for urban rail, integrated control systems and revenue collection systems.
Responsibilities
Bidding Phase
During the bid phase (bid / no bid, bid preparation, contract drafting, etc.) supports the Capture Leader in understanding customer requirements in particular contract terms and conditions; ensuring the pertinence of commitments; identifies legal and contractual risks and participates in the negotiation of contractual clauses and in the establishment of a clear and coherent contractual baseline
Develop contractual positions and provide accurate contract interpretation of the bids and proposals terms, including correlation between contractual terms and the technical and environmental requirements
Participate in negotiation strategies; manage the development and implementation of said strategies during contract negotiations and until execution of the commercial contract
Draft and negotiate contractual documents including agreements with local and foreign business partners (NDAs, MOUs, Teaming agreements, Consortium Agreements…), the customer, intended subcontractors or suppliers
Project Execution Phase
Supports the Project Managers in closely monitoring contract performance through to completion and managing change requests, including consequent evolutions to contractual baseline; reports on potential problems; proposes actions to minimise risk and maximise opportunities for the project ; participates, as required, in the resolution of contract disputes
Advise the Project team in the accurate interpretation and execution of contractual terms and conditions (Project’s commercial contract, Consortium Agreement or other agreement with partners, subcontracts…)
Ensure that a reliable and logical filing (hard copies & electronic filing) is in place and ensures easy and quick access to all contractual documents and correspondence from/to Customers, partners and subcontractors
Manage Claims, VO requests assessment
Prepare opportunity review for change/variation orders, draft and lead negotiation of the same
Ensure timely collection of all relevant records, data and information to support and draft claims
Supervise the follow up of all claim related actions of the various departments within the Project (including consortium partners)
Represent the legal & contracts function in discussions and negotiations of commercial/contractual issues with customers, partners and subcontractors
Produce and deliver commercial awareness training to engineering function on how to identify events that lead to scope change or claims for cost or extension of time and the impact to the business for failure to alert. Establish and implement process internally (preferably mirrored by the consortium partner) to record and report such disruption events to the customer
Requirements
Minimum of 10 years’ experience as in-house lawyer in construction or Quantity Surveyor. Experience with “FIDIC type” contracts or the equivalent
Strong contract negotiation and drafting skills with commercial sense
Able to organize and prioritize contractual and commercial risks and issues. Capacity to anticipate and act proactively
Ability to effectively reach negotiated compromises (win-win approach)
Strong communication and inter-personal skills. Capacity to influence decisions thanks to a convincing character and natural authority
Transparency and clearness in messages delivery and formal reporting
Capacity to understand or analyse critical path, float and consequent impact on the general time schedule and budget (including potential delays and consequences)
There may be overseas travel from time to time
