Legal counsel (Counsel III) for Citi’s Investment Banking Legal team in Asia Pacific, working in a team of  lawyers based in Hong Kong, Singapore, and Mumbai with coverage focusing on all jurisdictions in Asia where Citi operates. This is an intermediate role within the team.

The position will be based in the team’s the Mumbai Global Legal Office and is to provide support for the Investment Banking Legal team throughout Citi’s Asia North and Asia South Clusters. Coverage will span Citi’s key investment banking business lines, namely debt capital markets, equity capital markets, and M&A advisory. This coverage includes review, negotiation and approval of key legal documentation within these business lines, as well as providing counsel to the businesses that the team supports.

Employees in this position may have a background in one or more of these business lines to begin with, but will over time be trained to build out their experience across all products under the team’s coverage. This role itself will expand alongside the development of the employee’s expertise, with training and feedback being a key factor in both.

In this role, you’re expected to:

Legal coverage of transactions: Typical transactions include: IPOs, follow-on offerings, block trades, convertible bond offerings in equity capital markets, and investment grade and high yield bond deals and liability management transactions in debt capital markets. M&A would include both private sales or acquisitions and public takeovers.

Typical responsibilities are:

Deal document review and negotiation: full suite of transaction documents, such as, engagement letters, underwriting agreements, legal opinions, comfort letters, bond terms and conditions, trust deeds, fiscal agency agreements.

Legal risk management: identifying deviations from Citi standards, or other areas of legal, contractual and franchise risk; escalating to, and assisting in the resolution of such items with, global, regional and country partners in Legal and other functions; clear communication of risks and resolution with business partners.

Liaising with external counsels: working closely with law firms on episodic transactions and managing law firm relationships.

Internal projects: Working on special projects from time to time, for example, assessing impact of regulatory changes on Citi’s regional or global business, and liaising with global/regional partners to form an implementation plan.

Notes on Counsel III level general expectations: The Counsel III is an intermediate level position responsible for providing legal guidance and thought leadership to the Business. The overall objective of this role is to provide legal support, advice, and guidance to the Business.

This role requires a pragmatic, proactive attorney with thorough understanding of the Business, combined with a solid conceptual / practical grounding in the laws and regulations for the geographies in which we operate. Provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions.

Responsibilities:

  • Responsible for providing legal counsel to the Business, participating in strategic initiatives, providing subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advising business management on legal matters impacting the business
  • Supports legal peers in the evaluation of business proposals by analyzing and producing documentation while applying institutional knowledge and risk appetite against industry standards, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate
  • Collaborates across internal lines of business, control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest; coordinates closely with the Legal team on a regional and global basis
  • Assists team in identifying, evaluating and contributing to the management of legal, regulatory, and reputational risk by collaborating with ICRM & Risk, following relevant legal developments, participating in internal projects, escalating as appropriate
  • Manages day-to-day legal activities in area of responsibility and provide advisory services to business partners as applicable
  • Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards

As a successful candidate, you’d ideally have the following skills and exposure:

  • Bachelor's degree in law and qualification to practice law in India or other common law jurisdiction
  • 2-5 years of relevant industry experience, preferably in financial services
  • Banking or financial industry experience, including laws related to banking regulations
  • Knowledge of international laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business
  • Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions
  • Effective communication and negotiation skills and ability to build and maintain trusted relationships
  • Excellent interpersonal, organizational and relationship management skills
  • Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment
  • Bar license in good standing to practice law
  • Strong written and spoken English skills
  • Juris Doctorate or equivalent law degree
