General Description: Responsible for developing, implementing, and monitoring the governance framework of the NiHUB. This role ensures that NiHUB operates within the regulatory requirements and adheres to high standards of corporate governance. The Governance Specialist works closely with various departments to promote best practices, manage risks, and ensure transparency and accountability in decision-making processes.

Key Responsibilities:

  • Governance Framework Development:
    • Develop and implement the organization’s governance framework, policies, and procedures.
    • Regularly review and update governance policies to reflect changes in regulations and best practices.

  • Risk Management:
    • Identify, assess, and manage risks associated with governance practices.
    • Develop and implement risk management strategies and controls.
    • Monitor and report on the effectiveness of risk management processes.

 

  • Compliance Monitoring:
    • Ensure compliance with corporate governance regulations, codes of conduct, and internal policies.
    • Conduct regular reviews and audits to ensure adherence to governance standards.
    • Prepare and present compliance reports to senior management and the board.

  • Board Support and Coordination:
    • Provide support to the board of directors and its committees.
    • Coordinate board and committee meetings, including agenda preparation, document distribution, and minute-taking.
    • Ensure effective communication and information flow between the board and management.

 

  • Stakeholder Engagement:
    • Engage with internal and external stakeholders to promote good governance practices.
    • Act as a liaison between the organization and regulatory bodies, industry groups, and other stakeholders.

  • Monitoring and Reporting:
    • Develop and implement mechanisms for monitoring and reporting on governance performance.
    • Prepare governance reports for internal and external stakeholders.
    • Use data analytics tools to monitor governance metrics and identify areas for improvement.

Qualifications:

Language: English

Bachelor's degree: Finance, Business administration, Law.
