Senior Legal Counsel

At DXC, our In-house legal team has an opening Senior Legal Counsel to join an award-winning team.  The Senior Legal Counsel is responsible for individually delivering outstanding transactional support services, advising on major technology and outsourcing deals and complex commercial disputes for UnitedLex’s clients. The main activity is the negotiation of supplier-side high-value transactions (often in excess of $100m) in the banking, commercial and public sector sectors.

The primary client is DXC Technology (in EMEA). DXC Technology is a Fortune 500 global IT services leader formed in 2017 from the merger of CSC and HP Enterprise Services.

Candidates must be dynamic and creative legal and commercial thinkers who can demonstrate excellence in providing transactional and advisory support. Candidates should have strengths in:

Candidates should have experience supporting complex, cross-jurisdictional transaction and compliance projects and a strong drive to identify service improvement and growth areas.

The role is home based but may require attendance at DXC Technology’s and customer sites and involve periods away from home.

REQUIREMENTS & COMPETENCIES:

  • UK national, British Passport holder
  • BA/BSc and JD required (or regional equivalent education)
  • Qualified English & Welsh Solicitor with 10+ years PQE at a top-tier law firm and/or global corporation with experience in negotiating and closing large/complex commercial and public sector IT services transactions
  • Ability to provide strategic business and commercial advice regarding specific deals
  • Superior written and verbal communication skills
  • Embraces innovative legal/commercial delivery services solutions, including the use of technology and process to improve the effectiveness/efficiency of the delivery of legal/commercial services
  • Demonstrable knowledge and judgment about legal and commercial issues in transactions
  • Track record in managing a portfolio of deals of both high value/complexity
  • Good working knowledge of TUPE and data protection laws
  • Technology literate.

RESPONSIBILITIES:

  • Provide advice and negotiation support in various commercial transactions, including drafting and negotiating commercial agreements, legal research, contract interpretation, account counselling and supporting customer governance processes
  • Lead for major technology and outsourcing deals, often over $100m
  • Key / Lead negotiator for complex transactions
  • Provide ongoing advice to bid/deal/account teams regarding legal and commercial implications of specific terms and conditions, primarily across new business deals
  • Providing support for deal structuring in compliance and in line with the customers’ requirements on contracting, accepting business risk and revenue recognition
  • Provide support for complex transition and transformation activities, including contract interpretation, document drafting, attending and leading meetings, drafting and responding to key communications and issue resolution and dispute management
  • Provide commercial/legal support concerning major account terminations, disputes, and complex change matters
  • Reviewing, drafting and responding to various contractual documents in line with client standards and legal and commercial practices, including: financial arrangements, commercial terms and conditions, contracting rules, legal obligations of sales, distribution, logistic, service contracts, revenue recognition, optimal balance sheet financing solutions, etc
  • Working with legal, financial, delivery and sales teams to maintain commercial integrity, assess risks and minimise costs while at the same time securing optimal returns
  • Communicating with internal stakeholders and suppliers/customers regularly during and after a deal to remain up-to-date with corporate policies and procedures and customer needs and deliverables
  • Providing peers and the senior management team with advice and early warning regarding issues for further decision-making
  • Post-sale contract handover completion to the delivery team and support during transition phases.
  • Communicating with stakeholders to solve business-related disputes.
