Neuberger Berman is seeking a staff attorney to support Almanac Realty Investors (“Almanac”), the private equity real estate investing business unit of Neuberger Berman. Since 1996, Almanac’s primary activity has been making growth capital investments into private and public companies that own and operate real estate in North America. Almanac-managed funds have committed more than $8.4 billion to 56 real estate companies. The staff attorney will report to Almanac’s General Counsel and will be a key member of the team.  The individual will regularly interact with investment, finance, investor relations, marketing and fund operations professionals as well as senior management and will also work closely with the entire Legal and Compliance team. This job will require strong writing and reading skills and the ability to think critically and issue spot.  

Responsibilities:

  • Support Almanac’s General Counsel in connection with the structuring, formation, offering and maintenance of Almanac’s private investment funds and strategic business initiatives;

  • General corporate and fund governance work including legal entity management and preparation of investment committee resolutions and minutes;

  • Review and negotiate non-disclosure agreements (NDAs);

  • Work with investor relations team on various pre- and post-closing investor related deliverables, including due diligence questionnaires, requests for proposal, subscriptions, transfers, and client certifications;

  • Support the completion and maintenance of investment documentation relating to Almanac’s various debt and equity investments in real estate portfolio companies and real estate investment managers;

  • Assist in regulatory matters including coordinating required filings and foreign marketing registrations qualifications;

  • Review and coordinate with outside counsel, service providers, senior management, finance and compliance and other departments within the firm; and

  • Perform other related legal functions, adapt and adjust to responsibilities to accommodate changing priorities

Qualifications:

  • JD required

  • Member of New York state bar preferred

  • Prior experience with investment management products including private investment funds formation and maintenance preferred. Previous experience with private equity or real estate funds and REITs is a plus.

  • Ability to perform in fast-paced, demanding environment and coordinate multiple and changing priorities

  • Strong interpersonal skills with the ability to work well in a team environment across junior and senior roles

  • Outstanding time management, organizational, writing, proof-reading and editing skills

  • Effective oral and written communication skills

  • Ability to manage daily tasks and project work simultaneously

  • Excellent critical thinking and organizational skills

  • Must be detail-oriented, reliable, results-oriented and highly-motivated

  • Capable of anticipating and accommodating needs of team members

  • Professional, efficient, resourceful, and able to work independently with minimal guidance

  • Proficiency in Microsoft Office software (e.g. Word, Excel, PowerPoint, and Outlook)

Compensation Details

The salary range for this role is $120,000-$145,000. This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. We may ultimately pay more or less than the posted range, and the range may be modified in the future. This range is only applicable for jobs to be performed in New York City. An employee’s pay position within the salary range will be based on several factors including, but limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs. This job is also eligible for a discretionary bonus.
