Role Description 

Oversee contracting, security, IP and dispute management and ensure adherence to Group Legal policies and frameworks.

Responsibilities:

•      Oversee contracting for Brachy and Veenendaal site: oversee the review, negotiation, and approval of customer and supplier contracts; provide legal advice that enables commercially sound decisions while protecting Elekta’s interests

•      Ensure product, customer and market security: oversee security requirements including data privacy and confidentiality to prevent exposure of confidential personal data

•      Manage IP and related filings: support IP creation, protection and filing processes; ensure coordination with Group Legal and use external counsel where required

•      Manage litigation, claims, and dispute resolution: manage litigations, claims and dispute resolution efficiently while minimizing business impact; escalate and collaborate with Group Legal on any material litigations

•      Ensure adherence to Group Legal policies and frameworks: for example, ensure adherence to export control requirements and completion of compliance training

•      Interacts with senior leadership on key corporate transactions by providing prompt, practical, and commercial oriented advice

•      Manages litigation, arbitration, settlement negotiations and outside legal resources

•      Assists with acquisitions, divestitures and restructurings

•      Collaborates, facilitates, and implements legal and risk management strategies

•      Develops and implements best practices, including the proactive development of forms, templates, and training materials to streamline transactional processes

Authorities:

  • Manage the allocated legal budget

  • Decide on legal content of all contracts related to Brachy Business Line and Veenendaal site (including indirect procurement)

  • Decide on when to use external legal advice

  • Manage the Veenendaal site Chamber of Commerce communications

  • Advise the Head of Brachy Business Line

  • Decide on local processes in line with global guidelines and Dutch legislation

  • Assist the Managing Director(s) in legal matters

Key metrics

–      Risk & compliance outcomes: e.g., regulatory/audit findings (target: none)

–      Litigation & claims performance: e.g., success/settlement rate

Relevant Knowledge, skills and competencies 

• Educational background and experience:
– Graduate from a top-tier law school with strong academic credentials
– Preference for at least 10 years of full-time practice as a licensed attorney with a mix of top-tier law firm and in-house legal experience; experience in a regulated environment (MedTech, pharma, or similar) preferred
• Skills and competencies
– Deep legal expertise and understanding of commercial law, local regulatory environments and export control regulations; ability to apply legal standards across operations
– Proven track record of contracting excellence with strength in reviewing, negotiating and structuring contracts
– Proven ability to assess and mitigate product security and market security risks
– Excellent communicator with ability to explain legal issues clearly, influence senior leaders and manage disputes and litigation
– Strong sense of ethics, integrity, and sound judgement
– Must be able to strike sensible and practical balance between legal risks and the need to do business
– Experience managing litigation and outside counsel
– General understanding of laws and regulations relating to patient/data privacy, corporate compliance, anti-corruption and anti-competition
– Knowledge of the Medical Device Industry, including Regulatory knowledge (FDA, MDR, etc.) is a plus
– Sound and relatively broad knowledge of general business and commercial, contract, and commercial law
