Job Description

Job Purpose

The Legal Intern will support the Brookfield Property Group Legal team in corporate governance, entity management, regulatory compliance, and transactional matters across Canadian and U.S. jurisdictions.

Brookfield Property Group is a core operating business within Brookfield Asset Management Ltd.’s global real estate platform, one of the world’s leading real estate investment strategies. The platform owns, operates and develops a diversified portfolio of real estate assets — including office, retail, multifamily, industrial/logistics, hospitality and other residential real estate — across major markets worldwide. The Legal team supports governance, compliance, and transactional matters for a large and complex structure of property-owning and holding entities operating globally.

The intern will assist corporate law clerks and legal counsel in maintaining corporate records, supporting statutory filings, and facilitating legal processes that underpin real estate operations and investment activities.

Key Job Functions

1. Corporate Governance & Entity Management

  • Assist with review and maintenance of minute books for 500+ active Canadian and U.S. entities
  • Update director, officer, and shareholder registers within internal legal database
  • Prepare draft annual resolutions (OBCA, CBCA, Delaware corporations and LLCs, LPs, ULCs)
  • Support entity formations, amalgamations, dissolutions, continuances, and extra-provincial registrations
  • Assist in preparation and updating of organizational charts (Visio/PowerPoint)
  • Reconcile corporate database records with underlying minute books and source documents
  • Track EIN information and Delaware franchise tax requirements

2. Transactional & Real Estate Legal Support

  • Assist with drafting basic corporate resolutions in support of property acquisitions, dispositions, financings, and internal restructurings
  • Prepare officer certificates and closing deliverables
  • Support due diligence reviews relating to property-level transactions
  • Assist in gathering corporate documentation required by lenders and counterparties
  • Coordinate with internal legal, tax, treasury, and finance teams on closing and compliance matters

3. Administrative & Process Improvement Support

  • Provide general support to corporate law clerks and legal counsel
  • Assist with database modernization and data quality control initiatives
  • Identify discrepancies or inefficiencies and recommend process improvements
  • Support special legal projects as required

Decision Making & Authority

Decisions Made by Incumbent:

  • Identification and correction of clerical discrepancies between corporate records and database entries
  • Escalation of governance or filing deficiencies to supervising counsel

Recommendations Made by Incumbent:

  • Improvements to corporate record management processes
  • Efficiency enhancements in database reconciliation and filing tracking

The role operates under supervision, with increasing autonomy as competence is demonstrated.

Skills / Knowledge / Experience / Education Required

  • Currently enrolled in a recognized Law Clerk or Paralegal college program, or enrolled in or recently graduated from a university undergraduate program in a relevant field (e.g., business, commerce, finance, political science), or a JD student with demonstrated interest in corporate and/or real estate law
  • Strong organizational skills and meticulous attention to detail
  • Ability to manage high-volume, detail-oriented work with accuracy
  • Strong written and verbal communication skills
  • Proficiency in Microsoft Office (Word, Excel, Outlook, PowerPoint); Visio preferred
  • Comfort working with corporate databases and digital record systems
  • Professional discretion in handling confidential and sensitive information

Quantitative Scope

  • Corporate records review for 500+ active entities
  • Delaware franchise tax coordination for 400+ U.S. entities
  • Multi-jurisdictional annual filings across Canada and the United States
