Main Functions

  • Support the work of the Audit, Compliance and Risk Committee:
    • Conduct an in-depth review of all committee meeting materials and glean key insights for the Committee Chair. 
    • Attend all pre-meetings and committee meetings and maintain detailed notes.
    • Act as a liaison between the trustees and management on all matters related to the committee.  Examples - maintaining the action item grid, ensuring timely follow-up on open items, and partnering with management on all new and revised reports.
  • Review and recalculate all monthly contractual fees (management, transfer agent, 12b-1s, performance, and expense waivers).  Enhance models over time and adjust for any contractual changes.
  • Maintain and enhance the current Office of the Trustees trend report that is produced for eight board meetings per year.
  • Monitor and manage certain fund expense categories and vendor relationships.  This includes approval and coding of all invoices and general oversight of PwC, Ropes & Gray, Duane Morris, RSR Partners, Broadridge 15-c, and other legal vendors that work on specialized projects for the funds in conjunction with Ropes & Gray.
  • Responsible for the calculation, approval, and communication of all trustee-related payments. These include travel expense reimbursements, trustee compensation payments, trustee deferred compensation payments, and trustee retirement plan payments.
  • Partner with the head of the Office of the Trustees on several ad-hoc projects to support the board.  These generally relate to new product proposals and key topics like fund family breakpoints.

Backup/Secondary and Review Functions

  • Diligent Boardbooks secondary loader and review of formatting, links, hiding parameters, and access rights.
  • Secondary preparer of trustee meeting agendas and conduct detailed reviews.
  • Secondary preparer of all trustee records that are stored onsite, offsite, and electronically.
  • Backup and review of trustee holding and compensation disclosures.

12-24 Month Forward Looking Goals

  • Become a subject matter expert on all Audit, Compliance and Risk related materials and workflow. 
  • Become familiar with all other committee materials and key issues.
  • Lead the compliance testing process for the eight polices covering the Putnam Funds.  We currently test the policies every three years with the next planned testing in February of 2027 for the calendar year of 2026.
  • Challenge and enhance all calculation models and trustee reports, as necessary.
  • Enhance AUM and performance reporting.  Partner with the Business Intelligence group to enhance our current aum and flow report.  Further enhance the weekly performance and flow report that is provided to the Chair of the Board.
