Job Description Summary

The Role

The Director, Legal Affairs leads Alira Health’s global legal team, focused on four key areas: Corporate Governance, Contracts, Risk Management & Compliance, and General Corporate Matters. The Director will be a business partner to the CXOs and business unit leaders, helping them solve business problems and create new opportunities while addressing issues of compliance and risk management.  Reporting to the Co-CEO, this is a newly created role in our fast-growing healthcare technology and advisory company; we are looking for seasoned attorney with broad experience in general corporate matters and well-informed on data privacy and compliance.

Job Description

Corporate Governance

  • Working closely with CXOs and outside legal counsel, manage corporate governance issues related to Alira Health’s numerous global entities
  • Assist in formation or closing of domestic and international entities as the company expands and matures
  • Determine appropriate structure for new entities
  • Ensure compliance with governance regulations and requirements in all jurisdictions
  • Work closely with outside corporate counsel on our operating agreement as change as needed

Contracts

  • Acting as a business partner to our three business units, provide advice and contract work that capitalizes on opportunities while addressing risk
  • Oversee and contribute to legal team’s work on contracts, including, but not limited to, NDA’s, MSA’s, SaaS Agreements, Service Level Agreements, Partner Agreements, Independent Contractor Agreements and Vendor Agreements
  • Manage, draft, and negotiate more complex contracts
  • Provide guidance on acceptable contract language; develop, maintain, revise, and implement standard templates, forms, and processes for improvement and scalability purposes
  • Set policy and procedure on contract management

Risk Management & Compliance

  • Lead the company’s global corporate compliance program, including compliance and ethics policies, trainings, workplace investigations, whistleblower hotline, third party risk management, and supplier compliance
  • With support of third-party DPO, address compliance and regulatory matters. Supports and collaborates with other departments (Finance, QA, HR) to direct compliance issues for investigation, assessment, and resolution
  • Advise business teams on applicable laws and regulations, including GDPR, HIPAA, and other major data privacy regulations
  • Manage data privacy, security, and other service and product-related issues from a legal perspective
  • Collaborate with QA team to ensure policy compliance with data privacy regulations in relevant jurisdictions, calling in outside counsel or assistance as required

General Corporate Matters

  • Oversee global legal team of four people and manage departmental budget
  • Advise executive management on legal implications of major decisions and transactions
  • Provide counseling and advice on a wide range of corporate issues
  • Manage relationships with outside counsel in various jurisdictions
  • Support the company’s M&A strategy, requiring quick adaptation to an international, fast-changing environment
  • Manage trademark and patent filings

Qualifications

  • Spanish-qualified lawyer with ten years PQE preferred
  • Experience managing a small team
  • Experience within a dynamic, complex global business environment
  • Broad knowledge of law (corporate law, commercial law, privacy law, labor law)
  • Considerable experience in drafting, reviewing, negotiating commercial agreements
  •  Experience in global compliance programs and projects
  • Strong analytical ability together with reliably sound business judgment and a balanced approach to risk mitigation
  • Superior written and verbal communication skills with demonstrated ability to clearly and explain complex issues to a non-legal audience
  • Ability to balance process and decision-making in a large organization with an entrepreneurial culture and lean operating environment
  • Capable of articulating a vision or plan, gaining organizational commitment to action, and leading with indirect authority to achieve results
  • Demonstrated successful history of driving compliance or legal projects to completion across a global enterprise
  • Experience with companies operating in the healthcare and/or start-up industry
  • Fluent in English.  French would also be helpful but not required.
  • Maintain a valid passport with flexibility for occasional travel
