Job Summary
We are seeking a self-motivated lawyer to join our corporate in-house team, supporting the investment management arm of a global Insurance, Reinsurance, Mortgage Insurance company. You will support the lead investments lawyer with all aspects of Arch Capital Group Ltd.’s (“Arch”) investment management function (i.e., supporting front, middle and back offices). The investments legal group reviews and facilitates investments for both US and non-US Arch subsidiaries and works closely not only with the investment management business. but also the Arch compliance, finance and accounting groups both at the corporate level and the individual entity level. The candidate is expected to have significant experience reviewing and negotiating custody agreements, investment management agreements and all alternative investment legal documentation. The candidate is also expected to assist, as needed, on other corporate matters including review of engagement agreements related to non-investment related matters and provide legal counsel to different business functions on an ad-hoc basis (estimated 10-20% of the individual’s workload).
This is a hybrid opportunity and the individual would be expected to travel to the White Plains office 2x a week (if located in the NYC metro area) or quarterly if located elsewhere. Periodic trips to Bermuda, the headquarters of the investment business team, are also expected.
Job Responsibilities
Draft, review and negotiate investment management agreements and amendments with external managers on behalf of Arch clients
Review and negotiate all alternative investment legal documentation (i.e., limited partnership agreements, side letters, note purchase agreements, etc).
Advise business team on deal terms and structuring investments while also clearly and concisely communicating complex ideas to non-legal colleagues and internal stakeholders.
Coordinate reviews of deals with other stakeholders supporting the investment management process, including tax, investment accounting and compliance.
Assist in all ongoing legal aspects of existing investments, including review of amendments and assisting with operational due diligence as well as managing external counsel as necessary
Provide legal advice, counsel, guidance and support to the business team on relevant regulatory developments
Review and negotiate vendor contracts
Provide day-to-day advice and counsel to all aspects of the investment management business related to portfolio management and investment operations
Required Skills/Experience
5-7 years as a practicing attorney at a law firm or in-house focusing on investment matters
Currently licensed to practice law in one or more states
Familiarity with reviewing and negotiating limited partnership agreements, investment management agreements, note purchase agreements, purchase and sale agreements, stockholders’ agreements, credit agreements, participation agreements, etc.
Strong negotiation and drafting skills regarding alternative investment documentation
Familiarity with alternative investment terms and structures
Ability to successfully manage a variety of tasks and projects while functioning at a high level
Team player and ability to work across enterprise functions and to pivot easily between topics and tasks
Excellent interpersonal skills necessary to build strong and effective working relationships with key stakeholders across the business
Must be able to partner and maintain positive working relationship with legal department colleagues and senior management, investment management, finance, and other support areas with an ability to provide actionable, practical, sound legal advice tailored to the business
Desired Skills/Experience
While not required, experience or knowledge about the insurance and reinsurance industry is valued
While not required, experience or knowledge about investment compliance matters is valued
While not required, experience with the US Investment Advisers Act, US Investment Company Act, US Securities Act and US Securities Exchange Act is a plus along with working at a publicly traded company
Familiarity with ISDAs is a plus
Education
Education Completion of 4-year degree
JD from accredited law school
For individuals assigned or hired to work in California, Colorado, Hawaii, Jersey City, NJ; New York State; and/or Washington State, the base salary range is listed below. This range is as of the time of posting. Position is incentive eligible.
$148,614 - $201,066/year
Total individual compensation (base salary, short & long-term incentives) offered will take into account a number of factors including but not limited to geographic location, scope & responsibilities of the role, qualifications, talent availability & specialization as well as business needs. The above range may be modified in the future
