THE SENIOR LEGAL MANAGER ROLE

The Senior Legal Manager oversees all legal aspects of the business. This includes ensuring compliance with regulations, managing litigation, providing counsel on corporate strategies, and mitigating risks. The Senior Legal Manager is a business partner to the other practice areas of the company, helping them solve legal and business problems, negotiate contracts, and create new opportunities while addressing issues of compliance and risk management. The Senior Legal Manager will work with Alira Health’s global legal team and will focus on the following areas.

KEY RESPONSABILITIES 

Contracts

  • Draft, analyze, manage, and finalize a wide range of contracts requiring knowledge in the healthcare sector, including, but not limited to, NDA’s, MSA’s, Clinical Trial Agreements, SaaS Agreements, Service Level Agreements, Partner Agreements, Independent Contractor Agreements and Vendor Agreements

  • Provide guidance on acceptable contract language; Assist General Counsel in developing, maintaining, revising and implementing standard templates, forms, and processes for improvement and scalability

  • Participate in setting policy and procedure on contract management 

  • Ensure contracts and legal matters are compliant with all relevant laws and regulations, as well as with our corporate operating agreement

Corporate Legal Matters 

  • Manage general corporate matters, such as client defaults, delegation of authority, litigation and disputes, new policies, and the like   

  • Mitigate legal risks and develop strategies for risk management

  • Work with external legal counsel as needed; negotiate scope and fees for larger projects, review and code invoices, assess efficacy of counsel

  • Keep current on changes in laws and regulations that may impact the company

  • Review legal analyses and technical reports to make recommendations to senior management on responses to legal issues

  • Provide training on a range of legal issues to internal clients

 

Privacy & Compliance 

  • Provide legal advice on data privacy issues (notably GDPR and/or HIPAA and other US privacy laws) and compliance, working with the external DPO as required

  • Address compliance and regulatory matters. Support and collaborate with other departments (Finance, QA, HR) to manage compliance issues for investigation, assessment, and resolution in accordance with the General Counsel    

  • Advise business teams on applicable laws and regulations, including GDPR and other major data privacy regulations 

  • Collaborate with QA team to ensure policy compliance with data privacy regulations in relevant jurisdictions, calling in outside counsel or assistance as required 

DESIRED QUALIFICATION & EXPERIENCE

  • Law Degree from an accredited law school

  • Fluent in English

  • Five or more years of experience in a law firm or as in-house lawyer with focus on healthcare industry

  • Experience within a dynamic, complex global business environment

  • Service-oriented attitude – internal client focused, responsive, communicative, with good listening skills; seen as a trusted business partner to business units and departments

  • Subject matter expert with the ability to apply legal knowledge and expertise in business environment. Broad knowledge of law (corporate law, commercial law, contract law, litigation, compliance).

  • Knowledge of data privacy and compliance related to the life science industry is a plus

TECHNICAL COMPETENCES & SOFT SKILLS 

  • Law Degree from an accredited law school

  • Fluent in English
  • At least five years of experience in a law firm or as in-house lawyer with focus on healthcare industry
  • Experience within a dynamic, complex global business environment
  • Service-oriented attitude – internal client focused, responsive, communicative, with good listening skills; seen as a trusted business partner to business units and departments
  • Subject matter expert with the ability to apply legal knowledge and expertise in business environment. Broad knowledge of law (corporate law, commercial law, contract law, litigation, compliance).
  • Exceptional management and interpersonal skills; ability to manage one or more team members, focusing on their development and advancement within the firm
  • Excellent analytical ability, sound business judgment, and a balanced approach to risk mitigation in all legal matters
  • Excellent written and verbal communication skills with demonstrated ability to clearly and explain complex issues to a non-legal audience
  • Demonstrated flexibility in balancing process and decision-making in an entrepreneurial culture in a lean operating environment
  • Knowledge of data privacy and compliance related to the life science industry is a plus
  • Knowledge of French and Spanish is a plus

WORKING CONDITIONS/PHYSICAL DEMANDS

Normal office working conditions including frequent sitting, standing, bending, twisting and computer monitor use. Occasional lifting up to 30 lbs.
