Role Description

FNZ is seeking a highly experienced and strategic Company Secretary, Europe to lead and manage its Company Secretarial function in Europe. This role ensures the highest standards of corporate governance across FNZ’s European operations and supports the regional boards, their committees and senior leadership in fulfilling their legal and regulatory obligations. The successful candidate will be a trusted advisor to the company, with a strong understanding of governance frameworks and the ability to operate in a fast-paced, complex environment.

Specific Role Responsibilities

  • Lead the coordination, delivery and governance of regional board and committee meetings, including scheduling, agenda setting, minute-taking, and action tracking.

  • Ensure timely and accurate preparation and distribution of board papers and governance materials.

  • Advise the board and senior management on corporate governance best practices and regulatory developments.

  • Oversee and monitor statutory compliance of entities and their branches across Europe and handle statutory filings with the relevant commercial registries.

  • Support regulatory compliance colleagues with related filings with regulators.

  • Work with colleagues across the Legal team and Company Secretarial function globally and at Group level to collaborate on the Group-wide governance framework and ensure efficiencies across the Group.

  • Assist with subsidiary entity creation and ongoing management, and working with third party providers when required.

  • Maintain European organisation structure chart and collaborate with Group to ensure it is accurately reflected centrally.

  • Provide advice and guidance on a wide range of company secretarial matters including directors duties and responsibilities.

  • Manage and maintain Diligent Boards and the global entity database (Diligent Entities).

Experience required 

  • Previous experience as a Company Secretary, Deputy Company Secretary or Assistant Company Secretary (minimum 8 years) within a regulated environment

  • Financial Services experience is essential

  • Experience supporting boards and board committees

  • Experience using Diligent Boards and Diligent Entities

  • Must be ACIS/FCIS/ACG/FCG or similarly qualified individual
