Vanguard is seeking an Investment Stewardship Lead Analyst to join our dynamic team.  This role is central to advancing Vanguard’s governance and proxy voting strategy. The Lead Analyst will represent Vanguard in engagements with senior executives and board members of portfolio companies, discussing key governance topics such as board composition, executive compensation, and shareholder rights 

The position requires evaluating complex shareholder proposals and crafting proxy voting recommendations aligned with Vanguard’s stewardship principles. The analyst will also collaborate with internal teams, including Legal, Compliance, PR, and Global Public Policy—to produce strategic communications and external reports that disclose voting outcomes and engagement insights 

The ideal candidates will possess strong communication and analytical skills, sound business judgment, and the ability to work both independently and collaboratively. Experience in corporate governance or boardroom settings is a plus.

Responsibilities

• Serves as a subject matter expert in investment stewardship, proxy voting, and company engagement, as well as leading governance practices.
• Prepares for and leads engagement conversations with senior officials from funds' portfolio companies to discuss corporate governance matters including board composition and effectiveness, oversight of strategy and risk, executive compensation, and shareholder rights.
• Utilizes company disclosures, third-party research, and other available information to evaluate highly complex or contentious proposals against the Vanguard-advised funds’ proxy voting guidelines and present relevant recommendations to senior management.
• Plays a key role in maintaining strong working relationships with business partners and vendors. Contributes relevant research and insights in support of Vanguard's global investment stewardship communication efforts with stakeholders and business partners.
• Leads projects across various divisions of the global organization to ensure that project objectives are met and high-quality outcomes are delivered.
• Mentors and provides feedback to other crew members on application of Vanguard’s voting guidelines, engagement preparation materials or general governance topics.
• Participates in special projects and performs other duties as assigned.

Qualifications

• Minimum of five years related work experience, investment management and/or analysis experience preferred.
• Undergraduate degree or equivalent combination of training and experience. Graduate degree preferred.
