The Paralegal is responsible for assisting the Legal Department and other members of the company with compliance with Securities and Exchange Commission (“SEC”) requirements, corporate governance matters, capital markets transactions, and other matters as requested.

Responsibilities:

  • Assists with drafting securities filings, coordinates signatures, responds to requests from internal and external auditors, and supports Disclosure Committee and earnings-related matters.
  • Maintains restricted person lists, trades window and blackout calendars; tracks share balances for Section 16 filers; collects stock transaction information; and prepares first drafts of SEC forms 3, 4, and 5 as needed.
  • Assists with board and committee meetings, includes preparing agendas, board packets and minutes, revising governance policies, and administering the Diligent board portal.
  • Coordinates and assists with preparation of proxy statements and annual reports to include managing deadlines and coordinating with advisors.
  • Supports equity and bond offerings and other capital markets transactions, including transaction diligence and preparation of Board resolutions and transaction documents.
  • Assists in the research and compilation of information relative to HOA governance and operations.
  • Researches vendor ledgers and manages responses to vendor disputes; tracks and processes court-filed code violations; and communicates with outside counsel.
  • Manages legal department calendar for securities and governance related deadlines.
  • Follows all organizational systems, programs, training, policies, and procedures as required and complies with relevant legal mandates. Seeks guidance as necessary.
  • Actively supports and participates in the safety program, both for self-protection and the protection of other employees, by reading and abiding by all requirements in the Injury and Illness Prevention Program (I2P2).
  • Carries out all responsibilities in an honest, ethical, and professional manner.
  • Handles various other duties as delegated by direct supervisor/management.


Requirements:

  • High school diploma or GED required.
  • Bachelor's degree preferred
  • Minimum three (3) years of experience at law firms or public companies as a corporate or securities paralegal or legal assistant.
  • Experience with a top-tier national law firm preferred.
  • Experience with real estate investment trusts (“REITs”) preferred.
  • Experience in landlord/tenant, property management, or housing developer preferred.
  • Proficiency in Microsoft Word, Excel, pdf, and office-related software required.
  • Demonstrated ability to learn and utilize Company platforms, such as Diligent, Workiva, Yardi, Microsoft Dynamics 365 (CRM), Legal Tracker, and PowerBI.
  • Excellent verbal and written communication skills and be comfortable with regular communication on pending assignments required.
  • Must be able to tailor communications to all levels, including high-level customers.
  • Must be highly organized to be able to follow up with pending tasks from different departments.
  • Must be able to follow and establish organizational systems.
  • Must be proactive in handling matters and able to reliably follow through independently.
  • Must be able to maintain confidentiality.
  • Ability to be an effective member of project teams.

Compensation

The anticipated pay range/scale for this position is $38.54 to $48.16 Hourly. Actual starting base pay within this range will depend on factors including geographic location, education, training, skills, and relevant experience.

Additional Compensation

This position is not bonus-eligible.

 

This position is eligible to receive discretionary stock.
