eBay is seeking a dynamic, personable professional to serve as its Senior Corporate Counsel based in San Jose. In this role, you will serve as a trusted advisor, elevating our legal strategy in the critical areas of employee benefits and executive compensation. You will be responsible for providing guidance on the landscape of ERISA, tax, and securities laws, directly influencing our compliance across a multinational enterprise.
Strategic Counsel & Global Benefits Management: Deliver business-focused legal advice for all global employee benefit plans, including qualified and non-qualified retirement programs (e.g., 401(k), deferred compensation) and bonus plans.
Executive Compensation Expertise: Support and provide advice on executive compensation structures, severance, and ensuring compliance with Sections 409A, 162(m), and relevant tax and securities regulations.
ERISA & Regulatory Stewardship: Guide on ERISA fiduciary duties, prohibited transactions, reporting (Form 5500), and compliance for health & welfare plans (ACA, HIPAA, COBRA). Build solutions to address evolving regulatory requirements.
M&A Leadership: Lead benefits and compensation diligence and integration efforts for mergers, acquisitions, and divestitures, guidance on sophisticated transition and harmonization strategies.
Risk Mitigation & Governance: Identify and mitigate legal risks. Develop and refine internal policies, procedures, and governance frameworks to ensure robust compliance.
Facilitate Agreements: Provide advice and support on agreements that optimize our partnerships with key benefits vendors.
Translate & Empower Across Teams: Function as the legal expert, distilling regulations into practical advice that enables HR, Finance, Tax, Internal Audit, and M&A functions.
Continuous Learning: Monitor and educate to ensure compliance with legislative and regulatory developments, proactively assessing their impact and provide direction on necessary adjustments to programs and policies.
Training & Enablement: Develop standardized training for U.S. and non-U.S. HR
partners on policies, systems, and tools.
Emerging Tools: Explore and implement new solutions such as AI-based assistants for
common employee inquiries (e.g., using natural language tools trained on our ESPP
prospectus, Sabbatical Plan and other internal documentation and policies/plans).
Juris Doctor (J.D.) degree from an accredited law school.
Active membership in good standing with the California state bar.
10+ years of experience focused on ERISA, employee benefits, and executive compensation, preferably gained at a top-tier law firm and/or in-house legal department.
Experience with international benefits and compensation including international benefits and pension plans.
In-depth knowledge of ERISA, Internal Revenue Code (including Sections 401(k), 409A, 457, 162(m)), ACA, HIPAA, COBRA, and other federal and state laws governing employee benefits and executive compensation.
Experience with public company executive compensation matters, including managing various equity and tax filings.
Proven experience advising on the design, implementation, and administration of a wide range of qualified and non-qualified plans, and supporting their day-to-day operations including 401(k) & Committee support.
Strong understanding of M&A implications for employee benefits and executive compensation.
Excellent analytical, problem-solving, and communication skills (written and verbal).
Ability to work independently and as part of a team, balancing multiple priorities in a fast-paced environment.
High degree of professionalism, integrity, and ethical conduct.
The base pay range for this position is expected in the range below:
$174,400 - $232,800Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave). Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
If hired, employees will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
